<section xmlns="http://xml.house.gov/schemas/uslm/1.0" xmlns:xsi="http://www.w3.org/2001/XMLSchema-instance" xmlns:dc="http://purl.org/dc/elements/1.1/" xmlns:dcterms="http://purl.org/dc/terms/" style="-uslm-lc:I80" id="id958c206a-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s"><num value="657s">§ 657s.</num><heading> Limitations on subcontracting</heading><subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id958c206b-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a"><num value="a" class="bold">(a)</num><heading class="bold"> In general</heading><chapeau>If awarded a contract under section 637(a), 637(m), 644(a), 657a, or 657f of this title, a covered small business concern—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="id958c206c-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/1"><num value="1">(1)</num><content> in the case of a contract for services, may not expend on subcontractors more than 50 percent of the amount paid to the concern under the contract;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id958c206d-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/2"><num value="2">(2)</num><content> in the case of a contract for supplies (other than from a regular dealer in such supplies), may not expend on subcontractors more than 50 percent of the amount, less the cost of materials, paid to the concern under the contract;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id958c206e-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/3"><num value="3">(3)</num><chapeau> in the case of a contract described in paragraphs (1) and (2)—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id958c206f-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/3/A"><num value="A">(A)</num><content> shall determine for which category, services (as described in paragraph (1)) or supplies (as described in paragraph (2)), the greatest percentage of the contract is awarded;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2070-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/3/B"><num value="B">(B)</num><content> shall determine the amount awarded under the contract for that category of services or supplies; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2071-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/3/C"><num value="C">(C)</num><content> may not expend on subcontractors, with respect to the amount determined under subparagraph (B), more than 50 percent of that amount; and</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id958c2072-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/4"><num value="4">(4)</num><chapeau> in the case of a contract which is principally for supplies from a regular dealer in such supplies, and which is not a contract principally for services or construction, shall supply the product of a domestic small business manufacturer or processor, unless a waiver of such requirement is granted—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2073-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/4/A"><num value="A">(A)</num><content> by the Administrator, after reviewing a determination by the applicable contracting officer that no small business manufacturer or processor can reasonably be expected to offer a product meeting the specifications (including period for performance) required by the contract; or</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2074-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/a/4/B"><num value="B">(B)</num><content> by the Administrator for a product (or class of products), after determining that no small business manufacturer or processor is available to participate in the Federal procurement market.</content>
</subparagraph>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id958c2075-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/b"><num value="b" class="bold">(b)</num><heading class="bold"> Similarly situated entities</heading><content><p style="-uslm-lc:I11" class="indent0">Contract amounts expended by a covered small business concern on a subcontractor that is a similarly situated entity shall not be considered subcontracted for purposes of determining whether the covered small business concern has violated a requirement established under subsection (a) or (d).</p>

</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id958c2076-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/c"><num value="c" class="bold">(c)</num><heading class="bold"> Modifications of percentages</heading><content><p style="-uslm-lc:I11" class="indent0">The Administrator may change, by rule (after providing notice and an opportunity for public comment), a percentage specified in paragraphs (1) through (4) of subsection (a) if the Administrator determines that such change is necessary to reflect conventional industry practices among business concerns that are below the numerical size standard for businesses in that industry category.</p>

<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id958c2077-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/d"><num value="d" class="bold">(d)</num><heading class="bold"> Other contracts</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id958c2078-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/d/1"><num value="1" class="bold">(1)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I12" class="indent1">With respect to a category of contracts to which a requirement under subsection (a) does not apply, the Administrator is authorized to establish, by rule (after providing notice and an opportunity for public comment), a requirement that a covered small business concern may not expend on subcontractors more than a specified percentage of the amount paid to the concern under a contract in that category.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id958c2079-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/d/2"><num value="2" class="bold">(2)</num><heading class="bold"> Uniformity</heading><content><p style="-uslm-lc:I12" class="indent1">A requirement established under paragraph (1) shall apply to all covered small business concerns.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id958c207a-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/d/3"><num value="3" class="bold">(3)</num><heading class="bold"> Construction projects</heading><content><p style="-uslm-lc:I12" class="indent1">The Administrator shall establish, through public rulemaking, requirements similar to those specified in paragraph (1) to be applicable to contracts for general and specialty construction and to contracts for any other industry category not otherwise subject to the requirements of such paragraph. The percentage applicable to any such requirement shall be determined in accordance with paragraph (1).</p>

</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id958c207b-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e"><num value="e" class="bold">(e)</num><heading class="bold"> Definitions</heading><chapeau>In this section, the following definitions apply:</chapeau><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id958c207c-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1"><num value="1" class="bold">(1)</num><heading class="bold"> Covered small business concern</heading><chapeau>The term “covered small business concern” means a business concern that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id958c207d-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1/A"><num value="A">(A)</num><content> with respect to a contract awarded under <ref href="/us/usc/t15/s637/a">section 637(a) of this title</ref>, is a small business concern eligible to receive contracts under that section;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c207e-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1/B"><num value="B">(B)</num><chapeau> with respect to a contract awarded under <ref href="/us/usc/t15/s637/m">section 637(m) of this title</ref>—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id958c207f-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1/B/i"><num value="i">(i)</num><content> is a small business concern owned and controlled by women (as defined in that section); or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id958c2080-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1/B/ii"><num value="ii">(ii)</num><content> is a small business concern owned and controlled by women (as defined in that section) that is not less than 51 percent owned by 1 or more women who are economically disadvantaged (and such ownership is determined without regard to any community property law);</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2081-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1/C"><num value="C">(C)</num><content> with respect to a contract awarded under <ref href="/us/usc/t15/s644/a">section 644(a) of this title</ref>, is a small business concern;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2082-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1/D"><num value="D">(D)</num><content> with respect to a contract awarded under <ref href="/us/usc/t15/s657a">section 657a of this title</ref>, is a qualified HUBZone small business concern; or</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2083-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/1/E"><num value="E">(E)</num><content> with respect to a contract awarded under <ref href="/us/usc/t15/s657f">section 657f of this title</ref>, is a small business concern owned and controlled by service-disabled veterans.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id958c2084-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/2"><num value="2" class="bold">(2)</num><heading class="bold"> Similarly situated entity</heading><chapeau>The term “similarly situated entity” means a subcontractor that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2085-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/2/A"><num value="A">(A)</num><content> if a subcontractor for a small business concern, is a small business concern;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2086-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/2/B"><num value="B">(B)</num><content> if a subcontractor for a small business concern eligible to receive contracts under <ref href="/us/usc/t15/s637/a">section 637(a) of this title</ref>, is such a concern;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2087-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/2/C"><num value="C">(C)</num><content> if a subcontractor for a small business concern owned and controlled by women (as defined in <ref href="/us/usc/t15/s637/m">section 637(m) of this title</ref>), is such a concern;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id958c2088-ec38-11e5-b09f-aeee762a9f07" identifier="/us/usc/t15/s657s/e/2/D"><num value="D">(D)</num><content> if a subcontractor for a small business concern owned and controlled by women (as defined in <ref href="/us/usc/t15/s637/m">section 637(m) of this title</ref>) that is not less than 51 percent owned by 1 or more women who are economically disadvantaged (and such ownership is determined without regard to any community property law), is such a concern;</content>
</subparagraph>
