<section xmlns="http://xml.house.gov/schemas/uslm/1.0" xmlns:xsi="http://www.w3.org/2001/XMLSchema-instance" xmlns:dc="http://purl.org/dc/elements/1.1/" xmlns:dcterms="http://purl.org/dc/terms/" style="-uslm-lc:I80" id="id292c2c12-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd"><num value="379dd">§ 379dd.</num><heading> Establishment and functions of the Foundation</heading><subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292c2c13-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/a"><num value="a" class="bold">(a)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I11" class="indent0">A nonprofit corporation to be known as the Reagan-Udall Foundation for the Food and Drug Administration (referred to in this part as the “Foundation”) shall be established in accordance with this section. The Foundation shall be headed by an Executive Director, appointed by the members of the Board of Directors under subsection (e).<ref class="footnoteRef" idref="fn002094">1</ref><note type="footnote" id="fn002094"><num>1</num> So in original. Probably should be “subsection (g).”</note> The Foundation shall not be an agency or instrumentality of the United States Government.</p>
</content>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292c2c14-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/b"><num value="b" class="bold">(b)</num><heading class="bold"> Purpose of Foundation</heading><content><p style="-uslm-lc:I11" class="indent0">The purpose of the Foundation is to advance the mission of the Food and Drug Administration to modernize medical, veterinary, food, food ingredient, and cosmetic product development, accelerate innovation, and enhance product safety.</p>
</content>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292c2c15-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c"><num value="c" class="bold">(c)</num><heading class="bold"> Duties of the Foundation</heading><chapeau style="-uslm-lc:I11" class="indent0">The Foundation shall—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="id292c2c16-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/1"><num value="1">(1)</num><content> taking into consideration the Critical Path reports and priorities published by the Food and Drug Administration, identify unmet needs in the development, manufacture, and evaluation of the safety and effectiveness, including postapproval, of devices, including diagnostics, biologics, and drugs, and the safety of food, food ingredients, and cosmetics, and including the incorporation of more sensitive and predictive tools and devices to measure safety;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c2c17-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/2"><num value="2">(2)</num><content> establish goals and priorities in order to meet the unmet needs identified in paragraph (1);</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c2c18-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/3"><num value="3">(3)</num><content> in consultation with the Secretary, identify existing and proposed Federal intramural and extramural research and development programs relating to the goals and priorities established under paragraph (2), coordinate Foundation activities with such programs, and minimize Foundation duplication of existing efforts;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c2c19-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/4"><num value="4">(4)</num><content> award grants to, or enter into contracts, memoranda of understanding, or cooperative agreements with, scientists and entities, which may include the Food and Drug Administration, university consortia, public-private partnerships, institutions of higher education, entities described in <ref href="/us/usc/t26/s501/c/3">section 501(c)(3) of title 26</ref> (and exempt from tax under section 501(a) of such title), and industry, to efficiently and effectively advance the goals and priorities established under paragraph (2);</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c2c1a-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/5"><num value="5">(5)</num><content> recruit meeting participants and hold or sponsor (in whole or in part) meetings as appropriate to further the goals and priorities established under paragraph (2);</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c2c1b-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/6"><num value="6">(6)</num><content> release and publish information and data and, to the extent practicable, license, distribute, and release material, reagents, and techniques to maximize, promote, and coordinate the availability of such material, reagents, and techniques for use by the Food and Drug Administration, nonprofit organizations, and academic and industrial researchers to further the goals and priorities established under paragraph (2);</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c2c1c-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/7"><num value="7">(7)</num><chapeau> ensure that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id292c2c1d-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/7/A"><num value="A">(A)</num><content> action is taken as necessary to obtain patents for inventions developed by the Foundation or with funds from the Foundation;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292c532e-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/7/B"><num value="B">(B)</num><content> action is taken as necessary to enable the licensing of inventions developed by the Foundation or with funds from the Foundation; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292c532f-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/7/C"><num value="C">(C)</num><content> executed licenses, memoranda of understanding, material transfer agreements, contracts, and other such instruments, promote, to the maximum extent practicable, the broadest conversion to commercial and noncommercial applications of licensed and patented inventions of the Foundation to further the goals and priorities established under paragraph (2);</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c5330-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/8"><num value="8">(8)</num><content> provide objective clinical and scientific information to the Food and Drug Administration and, upon request, to other Federal agencies to assist in agency determinations of how to ensure that regulatory policy accommodates scientific advances and meets the agency’s public health mission;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c5331-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/9"><num value="9">(9)</num><content> conduct annual assessments of the unmet needs identified in paragraph (1); and</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292c5332-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/c/10"><num value="10">(10)</num><content> carry out such other activities consistent with the purposes of the Foundation as the Board determines appropriate.</content>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292c5333-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d"><num value="d" class="bold">(d)</num><heading class="bold"> Board of Directors</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292c5334-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1"><num value="1" class="bold">(1)</num><heading class="bold"> Establishment</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292c5335-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I13" class="indent2">The Foundation shall have a Board of Directors (referred to in this part as the “Board”), which shall be composed of ex officio and appointed members in accordance with this subsection. All appointed members of the Board shall be voting members.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292c5336-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/B"><num value="B" class="bold">(B)</num><heading class="bold"> Ex officio members</heading><chapeau style="-uslm-lc:I13" class="indent2">The ex officio members of the Board shall be the following individuals or their designees:</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id292c5337-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/B/i"><num value="i">(i)</num><content> The Commissioner.</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c5338-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/B/ii"><num value="ii">(ii)</num><content> The Director of the National Institutes of Health.</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c5339-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/B/iii"><num value="iii">(iii)</num><content> The Director of the Centers for Disease Control and Prevention.</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c533a-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/B/iv"><num value="iv">(iv)</num><content> The Director of the Agency for Healthcare Research and Quality.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292c533b-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C"><num value="C" class="bold">(C)</num><heading class="bold"> Appointed members</heading><clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id292c533c-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/i"><num value="i" class="bold">(i)</num><heading class="bold"> In general</heading><chapeau style="-uslm-lc:I14" class="indent3">The ex officio members of the Board under subparagraph (B) shall, by majority vote, appoint to the Board 14 individuals, of which 9 shall be from a list of candidates to be provided by the National Academy of Sciences and 5 shall be from lists of candidates provided by patient and consumer advocacy groups, professional scientific and medical societies, and industry trade organizations. Of such appointed members—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id292c533d-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/i/I"><num value="I">(I)</num><content> 4 shall be representatives of the general pharmaceutical, device, food, cosmetic, and biotechnology industries;</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id292c533e-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/i/II"><num value="II">(II)</num><content> 3 shall be representatives of academic research organizations;</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id292c533f-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/i/III"><num value="III">(III)</num><content> 2 shall be representatives of patient or consumer advocacy organizations;</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id292c5340-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/i/IV"><num value="IV">(IV)</num><content> 1 shall be a representative of health care providers; and</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id292c5341-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/i/V"><num value="V">(V)</num><content> 4 shall be at-large members with expertise or experience relevant to the purpose of the Foundation.</content>
</subclause>
</clause>
<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id292c5342-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/ii"><num value="ii" class="bold">(ii)</num><heading class="bold"> Additional members</heading><content><p style="-uslm-lc:I14" class="indent3">The Board, through amendments to the bylaws of the Foundation, may provide that the number of voting members of the Board shall be a number (to be specified in such amendment) greater than 14. Any Board positions that are established by any such amendment shall be appointed (by majority vote) by the individuals who, as of the date of such amendment, are voting members of the Board and persons so appointed may represent any of the categories specified in subclauses (I) through (V) of clause (i), so long as no more than 30 percent of the total voting members of the Board (including members whose positions are established by such amendment) are representatives of the general pharmaceutical, device, food, cosmetic, and biotechnology industries.</p>

<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id292c5343-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/iii"><num value="iii" class="bold">(iii)</num><heading class="bold"> Requirements</heading><subclause style="-uslm-lc:I72" class="indent6 firstIndent-2" id="id292c7a54-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/iii/I"><num value="I" class="bold">(I)</num><heading class="bold"> Expertise</heading><content><p style="-uslm-lc:I16" class="indent4">The ex officio members, acting pursuant to clause (i), and the Board, acting pursuant to clause (ii), shall ensure the Board membership includes individuals with expertise in areas including the sciences of developing, manufacturing, and evaluating the safety and effectiveness of devices, including diagnostics, biologics, and drugs, and the safety of food, food ingredients, and cosmetics.</p>
</content>
</subclause>
<subclause style="-uslm-lc:I72" class="indent6 firstIndent-2" id="id292c7a55-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/C/iii/II"><num value="II" class="bold">(II)</num><heading class="bold"> Federal employees</heading><content><p style="-uslm-lc:I16" class="indent4">No employee of the Federal Government shall be appointed as a member of the Board under this subparagraph or under paragraph (3)(B). For purposes of this section, the term “employee of the Federal Government” does not include a special Government employee, as that term is defined in <ref href="/us/usc/t18/s202/a">section 202(a) of title 18</ref>.</p>

</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292c7a56-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D"><num value="D" class="bold">(D)</num><heading class="bold"> Initial meeting</heading><clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id292c7a57-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D/i"><num value="i" class="bold">(i)</num><heading class="bold"> In general</heading><chapeau style="-uslm-lc:I14" class="indent3">Not later than 30 days after <date date="2007-09-27">September 27, 2007</date>, the Secretary shall convene a meeting of the ex officio members of the Board to—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id292c7a58-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D/i/I"><num value="I">(I)</num><content> incorporate the Foundation; and</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id292c7a59-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D/i/II"><num value="II">(II)</num><content> appoint the members of the Board in accordance with subparagraph (C).</content>
</subclause>
</clause>
<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id292c7a5a-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D/ii"><num value="ii" class="bold">(ii)</num><heading class="bold"> Service of ex officio members</heading><chapeau style="-uslm-lc:I14" class="indent3">Upon the appointment of the members of the Board under clause (i)(II)—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id292c7a5b-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D/ii/I"><num value="I">(I)</num><content> the terms of service of the Director of the Centers for Disease Control and Prevention and of the Director of the Agency for Healthcare Research and Quality as ex officio members of the Board shall terminate; and</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id292c7a5c-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D/ii/II"><num value="II">(II)</num><content> the Commissioner and the Director of the National Institutes of Health shall continue to serve as ex officio members of the Board, but shall be nonvoting members.</content>

<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id292c7a5d-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/1/D/iii"><num value="iii" class="bold">(iii)</num><heading class="bold"> Chair</heading><content><p style="-uslm-lc:I14" class="indent3">The ex officio members of the Board under subparagraph (B) shall designate an appointed member of the Board to serve as the Chair of the Board.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292c7a5e-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2"><num value="2" class="bold">(2)</num><heading class="bold"> Duties of Board</heading><chapeau style="-uslm-lc:I12" class="indent1">The Board shall—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id292c7a5f-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A"><num value="A">(A)</num><chapeau> establish bylaws for the Foundation that—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id292c7a60-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/i"><num value="i">(i)</num><content> are published in the Federal Register and available for public comment;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c7a61-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/ii"><num value="ii">(ii)</num><content> establish policies for the selection of the officers, employees, agents, and contractors of the Foundation;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c7a62-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/iii"><num value="iii">(iii)</num><content> establish policies, including ethical standards, for the acceptance, solicitation, and disposition of donations and grants to the Foundation and for the disposition of the assets of the Foundation, including appropriate limits on the ability of donors to designate, by stipulation or restriction, the use or recipient of donated funds;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c7a63-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/iv"><num value="iv">(iv)</num><content> establish policies that would subject all employees, fellows, and trainees of the Foundation to the conflict of interest standards under <ref href="/us/usc/t18/s208">section 208 of title 18</ref>;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c7a64-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/v"><num value="v">(v)</num><content> establish licensing, distribution, and publication policies that support the widest and least restrictive use by the public of information and inventions developed by the Foundation or with Foundation funds to carry out the duties described in paragraphs (6) and (7) of subsection (c), and may include charging cost-based fees for published material produced by the Foundation;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c7a65-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/vi"><num value="vi">(vi)</num><content> specify principles for the review of proposals and awarding of grants and contracts that include peer review and that are consistent with those of the Foundation for the National Institutes of Health, to the extent determined practicable and appropriate by the Board;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c7a66-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/vii"><num value="vii">(vii)</num><content> specify a cap on administrative expenses for recipients of a grant, contract, or cooperative agreement from the Foundation;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292c7a67-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/viii"><num value="viii">(viii)</num><content> establish policies for the execution of memoranda of understanding and cooperative agreements between the Foundation and other entities, including the Food and Drug Administration;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292ca178-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/ix"><num value="ix">(ix)</num><content> establish policies for funding training fellowships, whether at the Foundation, academic or scientific institutions, or the Food and Drug Administration, for scientists, doctors, and other professionals who are not employees of regulated industry, to foster greater understanding of and expertise in new scientific tools, diagnostics, manufacturing techniques, and potential barriers to translating basic research into clinical and regulatory practice;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292ca179-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/x"><num value="x">(x)</num><content> specify a process for annual Board review of the operations of the Foundation; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292ca17a-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/A/xi"><num value="xi">(xi)</num><content> establish specific duties of the Executive Director;</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292ca17b-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/B"><num value="B">(B)</num><content> prioritize and provide overall direction to the activities of the Foundation;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292ca17c-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/C"><num value="C">(C)</num><content> evaluate the performance of the Executive Director; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292ca17d-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/2/D"><num value="D">(D)</num><content> carry out any other necessary activities regarding the functioning of the Foundation.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292ca17e-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3"><num value="3" class="bold">(3)</num><heading class="bold"> Terms and vacancies</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292ca17f-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/A"><num value="A" class="bold">(A)</num><heading class="bold"> Term</heading><chapeau style="-uslm-lc:I13" class="indent2">The term of office of each member of the Board appointed under paragraph (1)(C)(i), and the term of office of any member of the Board whose position is established pursuant to paragraph (1)(C)(ii), shall be 4 years, except that—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id292ca180-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/A/i"><num value="i">(i)</num><content> the terms of offices for the members of the Board initially appointed under paragraph (1)(C)(i) shall expire on a staggered basis as determined by the ex officio members; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292ca181-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/A/ii"><num value="ii">(ii)</num><content> the terms of office for the persons initially appointed to positions established pursuant to paragraph (1)(C)(ii) may be made to expire on a staggered basis, as determined by the individuals who, as of the date of the amendment establishing such positions, are members of the Board.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292ca182-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/B"><num value="B" class="bold">(B)</num><heading class="bold"> Vacancy</heading><chapeau style="-uslm-lc:I13" class="indent2">Any vacancy in the membership of the Board—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id292ca183-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/B/i"><num value="i">(i)</num><content> shall not affect the power of the remaining members to execute the duties of the Board; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id292ca184-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/B/ii"><num value="ii">(ii)</num><content> shall be filled by appointment by the appointed members described in paragraph (1)(C) by majority vote.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292ca185-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/C"><num value="C" class="bold">(C)</num><heading class="bold"> Partial term</heading><content><p style="-uslm-lc:I13" class="indent2">If a member of the Board does not serve the full term applicable under subparagraph (A), the individual appointed under subparagraph (B) to fill the resulting vacancy shall be appointed for the remainder of the term of the predecessor of the individual.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292ca186-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/3/D"><num value="D" class="bold">(D)</num><heading class="bold"> Serving past term</heading><content><p style="-uslm-lc:I13" class="indent2">A member of the Board may continue to serve after the expiration of the term of the member until a successor is appointed.</p>
</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292ca187-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/d/4"><num value="4" class="bold">(4)</num><heading class="bold"> Compensation</heading><content><p style="-uslm-lc:I12" class="indent1">Members of the Board may not receive compensation for service on the Board. Such members may be reimbursed for travel, subsistence, and other necessary expenses incurred in carrying out the duties of the Board, as set forth in the bylaws issued by the Board.</p>
</content>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292ca188-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/e"><num value="e" class="bold">(e)</num><heading class="bold"> Incorporation</heading><content><p style="-uslm-lc:I11" class="indent0">The ex officio members of the Board shall serve as incorporators and shall take whatever actions necessary to incorporate the Foundation.</p>
</content>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292ca189-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/f"><num value="f" class="bold">(f)</num><heading class="bold"> Nonprofit status</heading><chapeau style="-uslm-lc:I11" class="indent0">In carrying out subsection (b), the Board shall establish such policies and bylaws under subsection (d), and the Executive Director shall carry out such activities under subsection (g), as may be necessary to ensure that the Foundation maintains status as an organization that—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="id292ca18a-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/f/1"><num value="1">(1)</num><content> is described in subsection (c)(3) of <ref href="/us/usc/t26/s501">section 501 of title 26</ref>; and</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292ca18b-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/f/2"><num value="2">(2)</num><content> is, under subsection (a) of such section, exempt from taxation.</content>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292ca18c-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/g"><num value="g" class="bold">(g)</num><heading class="bold"> Executive Director</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292ca18d-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/g/1"><num value="1" class="bold">(1)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I12" class="indent1">The Board shall appoint an Executive Director who shall serve at the pleasure of the Board. The Executive Director shall be responsible for the day-to-day operations of the Foundation and shall have such specific duties and responsibilities as the Board shall prescribe.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292cc89e-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/g/2"><num value="2" class="bold">(2)</num><heading class="bold"> Compensation</heading><content><p style="-uslm-lc:I12" class="indent1">The compensation of the Executive Director shall be fixed by the Board.</p>
</content>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292cc89f-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h"><num value="h" class="bold">(h)</num><heading class="bold"> Administrative powers</heading><chapeau style="-uslm-lc:I11" class="indent0">In carrying out this part, the Board, acting through the Executive Director, may—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8a0-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/1"><num value="1">(1)</num><content> adopt, alter, and use a corporate seal, which shall be judicially noticed;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8a1-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/2"><num value="2">(2)</num><content> hire, promote, compensate, and discharge 1 or more officers, employees, and agents, as may be necessary, and define their duties;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8a2-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/3"><num value="3">(3)</num><chapeau> prescribe the manner in which—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id292cc8a3-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/3/A"><num value="A">(A)</num><content> real or personal property of the Foundation is acquired, held, and transferred;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292cc8a4-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/3/B"><num value="B">(B)</num><content> general operations of the Foundation are to be conducted; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292cc8a5-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/3/C"><num value="C">(C)</num><content> the privileges granted to the Board by law are exercised and enjoyed;</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8a6-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/4"><num value="4">(4)</num><content> with the consent of the applicable executive department or independent agency, use the information, services, and facilities of such department or agencies in carrying out this section;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8a7-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/5"><num value="5">(5)</num><content> enter into contracts with public and private organizations for the writing, editing, printing, and publishing of books and other material;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8a8-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/6"><num value="6">(6)</num><content> hold, administer, invest, and spend any gift, devise, or bequest of real or personal property made to the Foundation under subsection (i);</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8a9-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/7"><num value="7">(7)</num><content> enter into such other contracts, leases, cooperative agreements, and other transactions as the Board considers appropriate to conduct the activities of the Foundation;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8aa-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/8"><num value="8">(8)</num><content> modify or consent to the modification of any contract or agreement to which it is a party or in which it has an interest under this part;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8ab-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/9"><num value="9">(9)</num><content> take such action as may be necessary to obtain patents and licenses for devices and procedures developed by the Foundation and its employees;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8ac-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/10"><num value="10">(10)</num><content> sue and be sued in its corporate name, and complain and defend in courts of competent jurisdiction;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8ad-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/11"><num value="11">(11)</num><content> appoint other groups of advisors as may be determined necessary to carry out the functions of the Foundation; and</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="id292cc8ae-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/h/12"><num value="12">(12)</num><content> exercise other powers as set forth in this section, and such other incidental powers as are necessary to carry out its powers, duties, and functions in accordance with this part.</content>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292cc8af-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/i"><num value="i" class="bold">(i)</num><heading class="bold"> Acceptance of funds from other sources</heading><content><p style="-uslm-lc:I11" class="indent0">The Executive Director may solicit and accept on behalf of the Foundation, any funds, gifts, grants, devises, or bequests of real or personal property made to the Foundation, including from private entities, for the purposes of carrying out the duties of the Foundation.</p>
</content>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292cc8b0-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/j"><num value="j" class="bold">(j)</num><heading class="bold"> Service of Federal employees</heading><content><p style="-uslm-lc:I11" class="indent0">Federal Government employees may serve on committees advisory to the Foundation and otherwise cooperate with and assist the Foundation in carrying out its functions, so long as such employees do not direct or control Foundation activities.</p>
</content>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292cc8b1-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/k"><num value="k" class="bold">(k)</num><heading class="bold"> Detail of Government employees; fellowships</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292cc8b2-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/k/1"><num value="1" class="bold">(1)</num><heading class="bold"> Detail from Federal agencies</heading><content><p style="-uslm-lc:I12" class="indent1">Federal Government employees may be detailed from Federal agencies with or without reimbursement to those agencies to the Foundation at any time, and such detail shall be without interruption or loss of civil service status or privilege. Each such employee shall abide by the statutory, regulatory, ethical, and procedural standards applicable to the employees of the agency from which such employee is detailed and those of the Foundation.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292cc8b3-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/k/2"><num value="2" class="bold">(2)</num><heading class="bold"> Voluntary service; acceptance of Federal employees</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292cc8b4-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/k/2/A"><num value="A" class="bold">(A)</num><heading class="bold"> Foundation</heading><content><p style="-uslm-lc:I13" class="indent2">The Executive Director of the Foundation may accept the services of employees detailed from Federal agencies with or without reimbursement to those agencies.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id292cc8b5-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/k/2/B"><num value="B" class="bold">(B)</num><heading class="bold"> Food and Drug Administration</heading><content><p style="-uslm-lc:I13" class="indent2">The Commissioner may accept the uncompensated services of Foundation fellows or trainees. Such services shall be considered to be undertaking an activity under contract with the Secretary as described in <ref href="/us/usc/t21/s379">section 379 of this title</ref>.</p>
</content>
</subparagraph>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292ceec6-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/l"><num value="l" class="bold">(l)</num><heading class="bold"> Annual reports</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292ceec7-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/l/1"><num value="1" class="bold">(1)</num><heading class="bold"> Reports to Foundation</heading><content><p style="-uslm-lc:I12" class="indent1">Any recipient of a grant, contract, fellowship, memorandum of understanding, or cooperative agreement from the Foundation under this section shall submit to the Foundation a report on an annual basis for the duration of such grant, contract, fellowship, memorandum of understanding, or cooperative agreement, that describes the activities carried out under such grant, contract, fellowship, memorandum of understanding, or cooperative agreement.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id292ceec8-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/l/2"><num value="2" class="bold">(2)</num><heading class="bold"> Report to Congress and the FDA</heading><chapeau style="-uslm-lc:I12" class="indent1">Beginning with fiscal year 2009, the Executive Director shall submit to Congress and the Commissioner an annual report that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id292ceec9-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/l/2/A"><num value="A">(A)</num><content> describes the activities of the Foundation and the progress of the Foundation in furthering the goals and priorities established under subsection (c)(2), including the practical impact of the Foundation on regulated product development;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292ceeca-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/l/2/B"><num value="B">(B)</num><content> provides a specific accounting of the source and use of all funds used by the Foundation to carry out such activities; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id292ceecb-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/l/2/C"><num value="C">(C)</num><content> provides information on how the results of Foundation activities could be incorporated into the regulatory and product review activities of the Food and Drug Administration.</content>
</subparagraph>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292ceecc-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/m"><num value="m" class="bold">(m)</num><heading class="bold"> Separation of funds</heading><content><p style="-uslm-lc:I11" class="indent0">The Executive Director shall ensure that the funds received from the Treasury are managed as individual programmatic funds under subsection (i), according to best accounting practices.</p>

</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="id292ceecd-09a0-11eb-a78d-da6bfa680960" identifier="/us/usc/t21/s379dd/n"><num value="n" class="bold">(n)</num><heading class="bold"> Funding</heading><content><p style="-uslm-lc:I11" class="indent0">From amounts appropriated to the Food and Drug Administration for each fiscal year, the Commissioner shall transfer not less than $500,000 and not more than $1,250,000, to the Foundation to carry out subsections (a), (b), and (d) through (m).</p>
