<section xmlns="http://xml.house.gov/schemas/uslm/1.0" xmlns:xsi="http://www.w3.org/2001/XMLSchema-instance" xmlns:dc="http://purl.org/dc/elements/1.1/" xmlns:dcterms="http://purl.org/dc/terms/" style="-uslm-lc:I80" id="idf5beb11a-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367"><num value="367">§ 367.</num><heading> Foreign corporations</heading><subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idf5beb11b-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/a"><num value="a" class="bold">(a)</num><heading class="bold"> Transfers of property from the United States</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5beb11c-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/a/1"><num value="1" class="bold">(1)</num><heading class="bold"> General rule</heading><content><p style="-uslm-lc:I12" class="indent1">If, in connection with any exchange described in section 332, 351, 354, 356, or 361, a United States person transfers property to a foreign corporation, such foreign corporation shall not, for purposes of determining the extent to which gain shall be recognized on such transfer, be considered to be a corporation.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5beb11d-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/a/2"><num value="2" class="bold">(2)</num><heading class="bold"> Exception for certain stock or securities</heading><content><p style="-uslm-lc:I12" class="indent1">Except to the extent provided in regulations, paragraph (1) shall not apply to the transfer of stock or securities of a foreign corporation which is a party to the exchange or a party to the reorganization.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed82e-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/a/3"><num value="3" class="bold">(3)</num><heading class="bold"> Special rule for transfer of partnership interests</heading><content><p style="-uslm-lc:I12" class="indent1">Except as provided in regulations prescribed by the Secretary, a transfer by a United States person of an interest in a partnership to a foreign corporation in an exchange described in paragraph (1) shall, for purposes of this subsection, be treated as a transfer to such corporation of such person’s pro rata share of the assets of the partnership.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed82f-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/a/4"><num value="4" class="bold">(4)</num><heading class="bold"> Paragraph (2) not to apply to certain section 361 transactions</heading><content><p style="-uslm-lc:I12" class="indent1">Paragraph (2) shall not apply in the case of an exchange described in subsection (a) or (b) of section 361. Subject to such basis adjustments and such other conditions as shall be provided in regulations, the preceding sentence shall not apply if the transferor corporation is controlled (within the meaning of section 368(c)) by 5 or fewer domestic corporations. For purposes of the preceding sentence, all members of the same affiliated group (within the meaning of section 1504) shall be treated as 1 corporation.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed830-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/a/5"><num value="5" class="bold">(5)</num><heading class="bold"> Secretary may exempt certain transactions from application of this subsection</heading><content><p style="-uslm-lc:I12" class="indent1">Paragraph (1) shall not apply to the transfer of any property which the Secretary, in order to carry out the purposes of this subsection, designates by regulation.</p>

</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idf5bed831-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/b"><num value="b" class="bold">(b)</num><heading class="bold"> Other transfers</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed832-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/b/1"><num value="1" class="bold">(1)</num><heading class="bold"> Effect of section to be determined under regulations</heading><content><p style="-uslm-lc:I12" class="indent1">In the case of any exchange described in section 332, 351, 354, 355, 356, or 361 in connection with which there is no transfer of property described in subsection (a)(1), a foreign corporation shall be considered to be a corporation except to the extent provided in regulations prescribed by the Secretary which are necessary or appropriate to prevent the avoidance of Federal income taxes.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed833-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/b/2"><num value="2" class="bold">(2)</num><heading class="bold"> Regulations relating to sale or exchange of stock in foreign corporations</heading><chapeau>The regulations prescribed pursuant to paragraph (1) shall include (but shall not be limited to) regulations dealing with the sale or exchange of stock or securities in a foreign corporation by a United States person, including regulations providing—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idf5bed834-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/b/2/A"><num value="A">(A)</num><chapeau> the circumstances under which—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idf5bed835-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/b/2/A/i"><num value="i">(i)</num><content> gain shall be recognized currently, or amounts included in gross income currently as a dividend, or both, or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idf5bed836-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/b/2/A/ii"><num value="ii">(ii)</num><content> gain or other amounts may be deferred for inclusion in the gross income of a shareholder (or his successor in interest) at a later date, and</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5bed837-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/b/2/B"><num value="B">(B)</num><content> the extent to which adjustments shall be made to earnings and profits, basis of stock or securities, and basis of assets.</content>
</subparagraph>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idf5bed838-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/c"><num value="c" class="bold">(c)</num><heading class="bold"> Transactions to be treated as exchanges</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed839-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/c/1"><num value="1" class="bold">(1)</num><heading class="bold"> Section 355 distribution</heading><content><p style="-uslm-lc:I12" class="indent1">For purposes of this section, any distribution described in section 355 (or so much of section 356 as relates to section 355) shall be treated as an exchange whether or not it is an exchange.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed83a-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/c/2"><num value="2" class="bold">(2)</num><heading class="bold"> Contribution of capital to controlled corporations</heading><content><p style="-uslm-lc:I12" class="indent1">For purposes of this chapter, any transfer of property to a foreign corporation as a contribution to the capital of such corporation by one or more persons who, immediately after the transfer, own (within the meaning of section 318) stock possessing at least 80 percent of the total combined voting power of all classes of stock of such corporation entitled to vote shall be treated as an exchange of such property for stock of the foreign corporation equal in value to the fair market value of the property transferred.</p>

</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idf5bed83b-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d"><num value="d" class="bold">(d)</num><heading class="bold"> Special rules relating to transfers of intangibles</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bed83c-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/1"><num value="1" class="bold">(1)</num><heading class="bold"> In general</heading><chapeau>Except as provided in regulations prescribed by the Secretary, if a United States person transfers any intangible property to a foreign corporation in an exchange described in section 351 or 361—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idf5bed83d-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/1/A"><num value="A">(A)</num><content> subsection (a) shall not apply to the transfer of such property, and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5bed83e-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/1/B"><num value="B">(B)</num><content> the provisions of this subsection shall apply to such transfer.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5befe4f-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2"><num value="2" class="bold">(2)</num><heading class="bold"> Transfer of intangibles treated as transfer pursuant to sale of contingent payments</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idf5befe50-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>If paragraph (1) applies to any transfer, the United States person transferring such property shall be treated as—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idf5befe51-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/A/i"><num value="i">(i)</num><content> having sold such property in exchange for payments which are contingent upon the productivity, use, or disposition of such property, and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idf5befe52-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/A/ii"><num value="ii">(ii)</num><chapeau> receiving amounts which reasonably reflect the amounts which would have been received—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="idf5befe53-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/A/ii/I"><num value="I">(I)</num><content> annually in the form of such payments over the useful life of such property, or</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="idf5befe54-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/A/ii/II"><num value="II">(II)</num><content> in the case of a disposition following such transfer (whether direct or indirect), at the time of the disposition.</content>
</subclause>
</clause>

<continuation style="-uslm-lc:I32" class="indent2 firstIndent0">The amounts taken into account under clause (ii) shall be commensurate with the income attributable to the intangible.</continuation>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idf5befe55-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/B"><num value="B" class="bold">(B)</num><heading class="bold"> Effect on earnings and profits</heading><content><p style="-uslm-lc:I13" class="indent2">For purposes of this chapter, the earnings and profits of a foreign corporation to which the intangible property was transferred shall be reduced by the amount required to be included in the income of the transferor of the intangible property under subparagraph (A)(ii).</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idf5befe56-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/C"><num value="C" class="bold">(C)</num><heading class="bold"> Amounts received treated as ordinary income</heading><content><p style="-uslm-lc:I13" class="indent2">For purposes of this chapter, any amount included in gross income by reason of this subsection shall be treated as ordinary income. For purposes of applying section 904(d), any such amount shall be treated in the same manner as if such amount were a royalty.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idf5befe57-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/D"><num value="D" class="bold">(D)</num><heading class="bold"> Regulatory authority</heading><chapeau>For purposes of the last sentence of subparagraph (A), the Secretary shall require—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idf5befe58-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/D/i"><num value="i">(i)</num><content> the valuation of transfers of intangible property, including intangible property transferred with other property or services, on an aggregate basis, or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idf5befe59-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/2/D/ii"><num value="ii">(ii)</num><content> the valuation of such a transfer on the basis of the realistic alternatives to such a transfer,</content>
</clause>

<continuation style="-uslm-lc:I32" class="indent2 firstIndent0">if the Secretary determines that such basis is the most reliable means of valuation of such transfers.</continuation>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5befe5a-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/3"><num value="3" class="bold">(3)</num><heading class="bold"> Regulations relating to transfers of intangibles to partnerships</heading><content><p style="-uslm-lc:I12" class="indent1">The Secretary may provide by regulations that the rules of paragraph (2) also apply to the transfer of intangible property by a United States person to a partnership in circumstances consistent with the purposes of this subsection.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5befe5b-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4"><num value="4" class="bold">(4)</num><heading class="bold"> Intangible property</heading><chapeau>For purposes of this subsection, the term “intangible property” means any—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idf5befe5c-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4/A"><num value="A">(A)</num><content> patent, invention, formula, process, design, pattern, or know-how,</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5befe5d-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4/B"><num value="B">(B)</num><content> copyright, literary, musical, or artistic composition,</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5befe5e-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4/C"><num value="C">(C)</num><content> trademark, trade name, or brand name,</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5befe5f-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4/D"><num value="D">(D)</num><content> franchise, license, or contract,</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5befe60-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4/E"><num value="E">(E)</num><content> method, program, system, procedure, campaign, survey, study, forecast, estimate, customer list, or technical data,</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5befe61-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4/F"><num value="F">(F)</num><content> goodwill, going concern value, or workforce in place (including its composition and terms and conditions (contractual or otherwise) of its employment), or</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idf5befe62-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/d/4/G"><num value="G">(G)</num><content> other item the value or potential value of which is not attributable to tangible property or the services of any individual.</content>
</subparagraph>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idf5befe63-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/e"><num value="e" class="bold">(e)</num><heading class="bold"> Treatment of distributions described in section 355 or liquidations under section 332</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5befe64-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/e/1"><num value="1" class="bold">(1)</num><heading class="bold"> Distributions described in section 355</heading><content><p style="-uslm-lc:I12" class="indent1">In the case of any distribution described in section 355 (or so much of section 356 as relates to section 355) by a domestic corporation to a person who is not a United States person, to the extent provided in regulations, gain shall be recognized under principles similar to the principles of this section.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idf5bf2575-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/e/2"><num value="2" class="bold">(2)</num><heading class="bold"> Liquidations under section 332</heading><content><p style="-uslm-lc:I12" class="indent1">In the case of any liquidation to which section 332 applies, except as provided in regulations, subsections (a) and (b)(1) of section 337 shall not apply where the 80-percent distributee (as defined in section 337(c)) is a foreign corporation.</p>

</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idf5bf2576-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/f"><num value="f" class="bold">(f)</num><heading class="bold"> Other transfers</heading><chapeau>To the extent provided in regulations, if a United States person transfers property to a foreign corporation as paid-in surplus or as a contribution to capital (in a transaction not otherwise described in this section), such transfer shall be treated as a sale or exchange for an amount equal to the fair market value of the property transferred, and the transferor shall recognize as gain the excess of—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="idf5bf2577-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/f/1"><num value="1">(1)</num><content> the fair market value of the property so transferred, over</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idf5bf2578-590a-11e8-9bdb-a8162161d363" identifier="/us/usc/t26/s367/f/2"><num value="2">(2)</num><content> the adjusted basis (for purposes of determining gain) of such property in the hands of the transferor.</content>

</subparagraph>
<subparagraph style="-uslm-lc:I22" class="indent1"><num value="B">“(B)</num><heading> <inline class="small-caps">Special rule for [former] section 936</inline>.—</heading><content>For purposes of [former] section 936(h)(5)(C) of the Internal Revenue Code of 1986 the amendments made by subsection (e) shall apply to taxable years beginning after <date date="1986-12-31">December 31, 1986</date>, without regard to when the transfer (or license), if any, was made.</content>

<subparagraph style="-uslm-lc:I22" class="indent1"><num value="C">“(C)</num><content> which began manufacturing a component of such product in Puerto Rico in its taxable year beginning in 1983, and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I22" class="indent1"><num value="D">“(D)</num><content> with respect to which a Puerto Rican tax exemption was granted on <date date="1983-06-27">June 27, 1983</date>,</content>
</subparagraph>

<continuation style="-uslm-lc:I33" class="indent0 firstIndent0">such corporation shall treat such component as a separate product for such taxable year for purposes of determining whether such corporation had a significant business presence in Puerto Rico with respect to such product and its income with respect to such product.</continuation>
</paragraph>
<paragraph style="-uslm-lc:I21" class="indent0"><num value="5">“(5)</num><heading> Transitional rule for increase in gross income test.—</heading><subparagraph style="-uslm-lc:I22" class="indent1"><num value="A">“(A)</num><heading> <inline class="small-caps">In general</inline>.—</heading><chapeau>If—</chapeau><clause style="-uslm-lc:I23" class="indent2"><num value="i">“(i)</num><content> a corporation fails to meet the requirements of subparagraph (B) of [former] section 936(a)(2) of the Internal Revenue Code of 1986 (as amended by subsection (d)(1)) for any taxable year beginning in 1987 or 1988,</content>

<clause style="-uslm-lc:I23" class="indent2"><num value="ii">“(ii)</num><content> such corporation would have met the requirements of such subparagraph (B) if such subparagraph had been applied without regard to the amendment made by subsection (d)(1), and</content>
</clause>
<clause style="-uslm-lc:I23" class="indent2"><num value="iii">“(iii)</num><content> 75 percent or more of the gross income of such corporation for such taxable year (or, in the case of a taxable year beginning in 1988, for the period consisting of such taxable year and the preceding taxable year) was derived from the active conduct of a trade or business within a possession of the United States, such corporation shall nevertheless be treated as meeting the requirements of such subparagraph (B) for such taxable year if it elects to reduce the amount of the qualified possession source investment income for the taxable year by the amount of the shortfall determined under subparagraph (B) of this paragraph.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I22" class="indent1"><num value="B">“(B)</num><heading> <inline class="small-caps">Determination of shortfall</inline>.—</heading><chapeau>The shortfall determined under this subparagraph for any taxable year is an amount equal to the excess of—</chapeau><clause style="-uslm-lc:I23" class="indent2"><num value="i">“(i)</num><content> 75 percent of the gross income of the corporation for the 3-year period (or part thereof) referred to in [former] section 936(a)(2)(A) of such Code, over</content>
</clause>
<clause style="-uslm-lc:I23" class="indent2"><num value="ii">“(ii)</num><content> the amount of the gross income of such corporation for such period (or part thereof) which was derived from the active conduct of a trade or business within a possession of the United States.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I22" class="indent1"><num value="C">“(C)</num><heading> <inline class="small-caps">Special rule</inline>.—</heading><content>Any income attributable to the investment of the amount not treated as qualified possession source investment income under subparagraph (A) shall not be treated as qualified possession source investment income for any taxable year.”</content>

<paragraph style="-uslm-lc:I21" class="indent0"><num value="2">“(2)</num><heading> Special rule for certain transfers of intangibles.—</heading><subparagraph style="-uslm-lc:I22" class="indent1"><num value="A">“(A)</num><heading> <inline class="small-caps">In general</inline>.—</heading><content>If, after <date date="1984-06-06">June 6, 1984</date>, and before <date date="1985-01-01">January 1, 1985</date>, a United States person transfers any intangible property (within the meaning of [former] section 936(h)(3)(B) of the Internal Revenue Code of 1986 [formerly I.R.C. 1954]) to a foreign corporation or in a transfer described in section 1491, such transfer shall be treated for purposes of sections 367(a), 1492(2), and 1494(b) of such Code as pursuant to a plan having as 1 of its principal purposes the avoidance of Federal income tax.</content>
</subparagraph>
<subparagraph style="-uslm-lc:I22" class="indent1"><num value="B">“(B)</num><heading> <inline class="small-caps">Waiver</inline>.—</heading><content>Subject to such terms and conditions as the Secretary of the Treasury or his delegate may prescribe, the Secretary may waive the application of subparagraph (A) with respect to any transfer.</content>

The amendments made by subsection (d) [enacting <ref href="/us/usc/t26/s7477">section 7477 of this title</ref> and amending sections 7476 and 7482 of this title] shall apply with respect to pleadings filed with the Tax Court after the date of the enactment of this Act [<date date="1976-10-04">Oct. 4, 1976</date>] but only with respect to transfers beginning after <date date="1975-10-09">October 9, 1975</date>.</content>

<paragraph style="-uslm-lc:I21" class="indent0"><num value="2">“(2)</num><content> In the case of any exchange described in section 367 of the Internal Revenue Code of 1986 [formerly I.R.C. 1954] (as in effect on <date date="1974-12-31">December 31, 1974</date>) in any taxable year beginning after <date date="1962-12-31">December 31, 1962</date>, and before the date of the enactment of this Act [<date date="1976-10-04">Oct. 4, 1976</date>], which does not involve the transfer of property to or from a United States person, a taxpayer shall have for purposes of such section until 183 days after the date of the enactment of this Act [<date date="1976-10-04">Oct. 4, 1976</date>] to file a request with the Secretary of the Treasury or his delegate seeking to establish to the satisfaction of the Secretary of the Treasury or his delegate that such exchange was not in pursuance of a plan having as one of its principal purposes the avoidance of Federal income taxes and that for purposes of such section a foreign corporation is to be treated as a foreign corporation.”</content>
