<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="ideedc3231-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/3"><num value="3" class="bold">(3)</num><heading class="bold"> Federal credit instrument</heading><content><p style="-uslm-lc:I12" class="indent1">The term “Federal credit instrument” means a secured loan or loan guarantee authorized to be made available under this chapter with respect to a project.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="ideedc3232-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/4"><num value="4" class="bold">(4)</num><heading class="bold"> Investment-grade rating</heading><content><p style="-uslm-lc:I12" class="indent1">The term “investment-grade rating” means a rating of BBB minus, Baa3, bbb minus, BBB (low), or higher assigned by a rating agency to project obligations.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="ideedc3233-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/5"><num value="5" class="bold">(5)</num><heading class="bold"> Lender</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="ideedc3234-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/5/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I13" class="indent2">The term “lender” means any non-Federal qualified institutional buyer (as defined in section 230.144A(a) of title 17, Code of Federal Regulations (or a successor regulation), known as Rule 144A(a) of the Securities and Exchange Commission and issued under the Securities Act of 1933 (<ref href="/us/usc/t15/s77a">15 U.S.C. 77a</ref> et seq.)).</p>

<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="ideedc3235-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/5/B"><num value="B" class="bold">(B)</num><heading class="bold"> Inclusions</heading><chapeau>The term “lender” includes—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="ideedc3236-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/5/B/i"><num value="i">(i)</num><content> a qualified retirement plan (as defined in <ref href="/us/usc/t26/s4974/c">section 4974(c) of title 26</ref>) that is a qualified institutional buyer; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="ideedc3237-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/5/B/ii"><num value="ii">(ii)</num><content> a governmental plan (as defined in <ref href="/us/usc/t26/s414/d">section 414(d) of title 26</ref>) that is a qualified institutional buyer.</content>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="ideedc3238-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/6"><num value="6" class="bold">(6)</num><heading class="bold"> Loan guarantee</heading><content><p style="-uslm-lc:I12" class="indent1">The term “loan guarantee” means any guarantee or other pledge by the Secretary or the Administrator to pay all or part of the principal of, and interest on, a loan or other debt obligation issued by an obligor and funded by a lender.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="ideedc3239-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/7"><num value="7" class="bold">(7)</num><heading class="bold"> Obligor</heading><content><p style="-uslm-lc:I12" class="indent1">The term “obligor” means an eligible entity that is primarily liable for payment of the principal of, or interest on, a Federal credit instrument.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="ideedc323d-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/9"><num value="9" class="bold">(9)</num><heading class="bold"> Rating agency</heading><content><p style="-uslm-lc:I12" class="indent1">The term “rating agency” means a credit rating agency registered with the Securities and Exchange Commission as a nationally recognized statistical rating organization (as defined in <ref href="/us/usc/t15/s78c/a">section 78c(a) of title 15</ref>).</p>

</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="ideedc5951-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/11/B"><num value="B">(B)</num><content> the District of Columbia;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="ideedc5952-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/11/C"><num value="C">(C)</num><content> the Commonwealth of Puerto Rico; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="ideedc5953-7dda-11e7-98de-ccd4d5558607" identifier="/us/usc/t33/s3901/11/D"><num value="D">(D)</num><content> any other territory or possession of the United States.</content>
