<chapeau style="-uslm-lc:I11" class="indent0">For purposes of this part:</chapeau><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f3e-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/1"><num value="1" class="bold">(1)</num><heading class="bold"> Affiliate</heading><content><p style="-uslm-lc:I12" class="indent1">The term “affiliate” of a company means any company, 5 percent or more of the outstanding voting securities of which are owned, controlled, or held with power to vote, directly or indirectly, by such company.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f3f-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/2"><num value="2" class="bold">(2)</num><heading class="bold"> Associate company</heading><content><p style="-uslm-lc:I12" class="indent1">The term “associate company” of a company means any company in the same holding company system with such company.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f40-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/3"><num value="3" class="bold">(3)</num><heading class="bold"> Commission</heading><content><p style="-uslm-lc:I12" class="indent1">The term “Commission” means the Federal Energy Regulatory Commission.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f41-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/4"><num value="4" class="bold">(4)</num><heading class="bold"> Company</heading><content><p style="-uslm-lc:I12" class="indent1">The term “company” means a corporation, partnership, association, joint stock company, business trust, or any organized group of persons, whether incorporated or not, or a receiver, trustee, or other liquidating agent of any of the foregoing.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f42-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/5"><num value="5" class="bold">(5)</num><heading class="bold"> Electric utility company</heading><content><p style="-uslm-lc:I12" class="indent1">The term “electric utility company” means any company that owns or operates facilities used for the generation, transmission, or distribution of electric energy for sale.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f43-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/6"><num value="6" class="bold">(6)</num><heading class="bold"> Exempt wholesale generator and foreign utility company</heading><content><p style="-uslm-lc:I12" class="indent1">The terms “exempt wholesale generator” and “foreign utility company” have the same meanings as in sections 79z–5a and 79z–5b of title 15, as those sections existed on the day before the effective date of this part.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f44-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/7"><num value="7" class="bold">(7)</num><heading class="bold"> Gas utility company</heading><content><p style="-uslm-lc:I12" class="indent1">The term “gas utility company” means any company that owns or operates facilities used for distribution at retail (other than the distribution only in enclosed portable containers or distribution to tenants or employees of the company operating such facilities for their own use and not for resale) of natural or manufactured gas for heat, light, or power.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a6f45-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8"><num value="8" class="bold">(8)</num><heading class="bold"> Holding company</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idad8a6f46-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau style="-uslm-lc:I13" class="indent2">The term “holding company” means—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idad8a6f47-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/A/i"><num value="i">(i)</num><content> any company that directly or indirectly owns, controls, or holds, with power to vote, 10 percent or more of the outstanding voting securities of a public-utility company or of a holding company of any public-utility company; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idad8a6f48-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/A/ii"><num value="ii">(ii)</num><content> any person, determined by the Commission, after notice and opportunity for hearing, to exercise directly or indirectly (either alone or pursuant to an arrangement or understanding with one or more persons) such a controlling influence over the management or policies of any public-utility company or holding company as to make it necessary or appropriate for the rate protection of utility customers with respect to rates that such person be subject to the obligations, duties, and liabilities imposed by this part upon holding companies.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idad8a6f49-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B"><num value="B" class="bold">(B)</num><heading class="bold"> Exclusions</heading><chapeau style="-uslm-lc:I13" class="indent2">The term “holding company” shall not include—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idad8a6f4a-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B/i"><num value="i">(i)</num><chapeau> a bank, savings association, or trust company, or their operating subsidiaries that own, control, or hold, with the power to vote, public utility or public utility holding company securities so long as the securities are—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="idad8a6f4b-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B/i/I"><num value="I">(I)</num><content> held as collateral for a loan;</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="idad8a6f4c-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B/i/II"><num value="II">(II)</num><content> held in the ordinary course of business as a fiduciary; or</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="idad8a955d-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B/i/III"><num value="III">(III)</num><content> acquired solely for purposes of liquidation and in connection with a loan previously contracted for and owned beneficially for a period of not more than two years; or</content>
</subclause>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idad8a955e-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B/ii"><num value="ii">(ii)</num><chapeau> a broker or dealer that owns, controls, or holds with the power to vote public utility or public utility holding company securities so long as the securities are—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="idad8a955f-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B/ii/I"><num value="I">(I)</num><content> not beneficially owned by the broker or dealer and are subject to any voting instructions which may be given by customers or their assigns; or</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="idad8a9560-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/8/B/ii/II"><num value="II">(II)</num><content> acquired within 12 months in the ordinary course of business as a broker, dealer, or underwriter with the bona fide intention of effecting distribution of the specific securities so acquired.</content>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9561-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/9"><num value="9" class="bold">(9)</num><heading class="bold"> Holding company system</heading><content><p style="-uslm-lc:I12" class="indent1">The term “holding company system” means a holding company, together with its subsidiary companies.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9562-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/10"><num value="10" class="bold">(10)</num><heading class="bold"> Jurisdictional rates</heading><content><p style="-uslm-lc:I12" class="indent1">The term “jurisdictional rates” means rates accepted or established by the Commission for the transmission of electric energy in interstate commerce, the sale of electric energy at wholesale in interstate commerce, the transportation of natural gas in interstate commerce, and the sale in interstate commerce of natural gas for resale for ultimate public consumption for domestic, commercial, industrial, or any other use.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9563-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/11"><num value="11" class="bold">(11)</num><heading class="bold"> Natural gas company</heading><content><p style="-uslm-lc:I12" class="indent1">The term “natural gas company” means a person engaged in the transportation of natural gas in interstate commerce or the sale of such gas in interstate commerce for resale.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9564-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/12"><num value="12" class="bold">(12)</num><heading class="bold"> Person</heading><content><p style="-uslm-lc:I12" class="indent1">The term “person” means an individual or company.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9565-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/13"><num value="13" class="bold">(13)</num><heading class="bold"> Public utility</heading><content><p style="-uslm-lc:I12" class="indent1">The term “public utility” means any person who owns or operates facilities used for transmission of electric energy in interstate commerce or sales of electric energy at wholesale in interstate commerce.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9566-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/14"><num value="14" class="bold">(14)</num><heading class="bold"> Public-utility company</heading><content><p style="-uslm-lc:I12" class="indent1">The term “public-utility company” means an electric utility company or a gas utility company.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9567-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/15"><num value="15" class="bold">(15)</num><heading class="bold"> State commission</heading><content><p style="-uslm-lc:I12" class="indent1">The term “State commission” means any commission, board, agency, or officer, by whatever name designated, of a State, municipality, or other political subdivision of a State that, under the laws of such State, has jurisdiction to regulate public utility companies.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idad8a9568-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/16"><num value="16" class="bold">(16)</num><heading class="bold"> Subsidiary company</heading><chapeau style="-uslm-lc:I12" class="indent1">The term “subsidiary company” of a holding company means—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idad8a9569-09a0-11eb-a85b-f5cef3d06f4d" identifier="/us/usc/t42/s16451/16/A"><num value="A">(A)</num><content> any company, 10 percent or more of the outstanding voting securities of which are directly or indirectly owned, controlled, or held with power to vote, by such holding company; and</content>
