<chapeau style="-uslm-lc:I11" class="indent0">As used in this chapter:</chapeau><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e7b-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/1"><num value="1" class="bold">(1)</num><heading class="bold"> Alternative trading system</heading><chapeau>The term “alternative trading system” means an organization, association, or group of persons that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id69591e7c-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/1/A"><num value="A">(A)</num><content> is registered as a broker or dealer pursuant to section 15(b) of the Securities Exchange Act of 1934 [<ref href="/us/usc/t15/s78">15 U.S.C. 78</ref><i>o</i>(b)] (except paragraph (11) thereof);</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id69591e7d-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/1/B"><num value="B">(B)</num><content> performs the functions commonly performed by an exchange (as defined in section 3(a)(1) of the Securities Exchange Act of 1934 [<ref href="/us/usc/t15/s78c/a/1">15 U.S.C. 78c(a)(1)</ref>]);</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id69591e7e-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/1/C"><num value="C">(C)</num><chapeau> does not—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id69591e7f-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/1/C/i"><num value="i">(i)</num><content> set rules governing the conduct of subscribers other than the conduct of such subscribers’ trading on the alternative trading system; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591e80-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/1/C/ii"><num value="ii">(ii)</num><content> discipline subscribers other than by exclusion from trading; and</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id69591e81-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/1/D"><num value="D">(D)</num><content> is exempt from the definition of the term “exchange” under such section 3(a)(1) [<ref href="/us/usc/t15/s78c/a/1">15 U.S.C. 78c(a)(1)</ref>] by rule or regulation of the Securities and Exchange Commission on terms that require compliance with regulations of its trading functions.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e82-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/2"><num value="2" class="bold">(2)</num><heading class="bold"> Appropriate Federal banking agency</heading><chapeau>The term “appropriate Federal banking agency”—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id69591e83-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/2/A"><num value="A">(A)</num><content> has the meaning given the term in <ref href="/us/usc/t12/s1813">section 1813 of title 12</ref>;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id69591e84-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/2/B"><num value="B">(B)</num><content> means the Board in the case of a noninsured State bank; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id69591e85-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/2/C"><num value="C">(C)</num><content> is the Farm Credit Administration for farm credit system institutions.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e86-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/3"><num value="3" class="bold">(3)</num><heading class="bold"> Associated person of a security-based swap dealer or major security-based swap participant</heading><content><p style="-uslm-lc:I12" class="indent1">The term “associated person of a security-based swap dealer or major security-based swap participant” has the meaning given the term in section 3(a) of the Securities Exchange Act of 1934 (<ref href="/us/usc/t15/s78c/a">15 U.S.C. 78c(a)</ref>).</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e87-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/4"><num value="4" class="bold">(4)</num><heading class="bold"> Associated person of a swap dealer or major swap participant</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591e88-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/4/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>The term “associated person of a swap dealer or major swap participant” means a person who is associated with a swap dealer or major swap participant as a partner, officer, employee, or agent (or any person occupying a similar status or performing similar functions), in any capacity that involves—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id69591e89-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/4/A/i"><num value="i">(i)</num><content> the solicitation or acceptance of swaps; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591e8a-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/4/A/ii"><num value="ii">(ii)</num><content> the supervision of any person or persons so engaged.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591e8b-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/4/B"><num value="B" class="bold">(B)</num><heading class="bold"> Exclusion</heading><content><p style="-uslm-lc:I13" class="indent2">Other than for purposes of <ref href="/us/usc/t7/s6s/b/6">section 6s(b)(6) of this title</ref>, the term “associated person of a swap dealer or major swap participant” does not include any person associated with a swap dealer or major swap participant the functions of which are solely clerical or ministerial.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e8c-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/5"><num value="5" class="bold">(5)</num><heading class="bold"> Board</heading><content><p style="-uslm-lc:I12" class="indent1">The term “Board” means the Board of Governors of the Federal Reserve System.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e8d-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/6"><num value="6" class="bold">(6)</num><heading class="bold"> Board of trade</heading><content><p style="-uslm-lc:I12" class="indent1">The term “board of trade” means any organized exchange or other trading facility.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e8e-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/7"><num value="7" class="bold">(7)</num><heading class="bold"> Cleared swap</heading><content><p style="-uslm-lc:I12" class="indent1">The term “cleared swap” means any swap that is, directly or indirectly, submitted to and cleared by a derivatives clearing organization registered with the Commission.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e8f-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/8"><num value="8" class="bold">(8)</num><heading class="bold"> Commission</heading><content><p style="-uslm-lc:I12" class="indent1">The term “Commission” means the Commodity Futures Trading Commission established under <ref href="/us/usc/t7/s2/a/2">section 2(a)(2) of this title</ref>.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e90-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/9"><num value="9" class="bold">(9)</num><heading class="bold"> Commodity</heading><content><p style="-uslm-lc:I12" class="indent1">The term “commodity” means wheat, cotton, rice, corn, oats, barley, rye, flaxseed, grain sorghums, mill feeds, butter, eggs, Solanum tuberosum (Irish potatoes), wool, wool tops, fats and oils (including lard, tallow, cottonseed oil, peanut oil, soybean oil, and all other fats and oils), cottonseed meal, cottonseed, peanuts, soybeans, soybean meal, livestock, livestock products, and frozen concentrated orange juice, and all other goods and articles, except onions (as provided by <ref href="/us/usc/t7/s13–1">section 13–1 of this title</ref>) and motion picture box office receipts (or any index, measure, value, or data related to such receipts), and all services, rights, and interests (except motion picture box office receipts, or any index, measure, value or data related to such receipts) in which contracts for future delivery are presently or in the future dealt in.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591e91-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/10"><num value="10" class="bold">(10)</num><heading class="bold"> Commodity pool</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591e92-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/10/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>The term “commodity pool” means any investment trust, syndicate, or similar form of enterprise operated for the purpose of trading in commodity interests, including any—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id69591e93-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/10/A/i"><num value="i">(i)</num><content> commodity for future delivery, security futures product, or swap;</content>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591ea1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12"><num value="12" class="bold">(12)</num><heading class="bold"> Commodity trading advisor</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591ea2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>Except as otherwise provided in this paragraph, the term “commodity trading advisor” means any person who—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id69591ea3-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/A/i"><num value="i">(i)</num><chapeau> for compensation or profit, engages in the business of advising others, either directly or through publications, writings, or electronic media, as to the value of or the advisability of trading in—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id69591ea4-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/A/i/I"><num value="I">(I)</num><content> any contract of sale of a commodity for future delivery, security futures product, or swap;</content>

<clause style="-uslm-lc:I14" class="indent3" id="id69591ea8-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/A/ii"><num value="ii">(ii)</num><content> for compensation or profit, and as part of a regular business, issues or promulgates analyses or reports concerning any of the activities referred to in clause (i).</content>

<clause style="-uslm-lc:I14" class="indent3" id="id69591ea9-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/A/iii"><num value="iii">(iii)</num><content> is registered with the Commission as a commodity trading advisor; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591eaa-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/A/iv"><num value="iv">(iv)</num><content> the Commission, by rule or regulation, may include if the Commission determines that the rule or regulation will effectuate the purposes of this chapter.</content>

</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591eab-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B"><num value="B" class="bold">(B)</num><heading class="bold"> Exclusions</heading><chapeau>Subject to subparagraph (C), the term “commodity trading advisor” does not include—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id69591eac-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B/i"><num value="i">(i)</num><content> any bank or trust company or any person acting as an employee thereof;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591ead-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B/ii"><num value="ii">(ii)</num><content> any news reporter, news columnist, or news editor of the print or electronic media, or any lawyer, accountant, or teacher;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591eae-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B/iii"><num value="iii">(iii)</num><content> any floor broker or futures commission merchant;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591eaf-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B/iv"><num value="iv">(iv)</num><content> the publisher or producer of any print or electronic data of general and regular dissemination, including its employees;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591eb0-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B/v"><num value="v">(v)</num><content> the fiduciary of any defined benefit plan that is subject to the Employee Retirement Income Security Act of 1974 (<ref href="/us/usc/t29/s1001">29 U.S.C. 1001</ref> et seq.);</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591eb1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B/vi"><num value="vi">(vi)</num><content> any contract market or derivatives transaction execution facility; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591eb2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/B/vii"><num value="vii">(vii)</num><content> such other persons not within the intent of this paragraph as the Commission may specify by rule, regulation, or order.</content>

</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591eb3-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/C"><num value="C" class="bold">(C)</num><heading class="bold"> Incidental services</heading><content><p style="-uslm-lc:I13" class="indent2">Subparagraph (B) shall apply only if the furnishing of such services by persons referred to in subparagraph (B) is solely incidental to the conduct of their business or profession.</p>

</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591eb4-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/12/D"><num value="D" class="bold">(D)</num><heading class="bold"> Advisors</heading><content><p style="-uslm-lc:I13" class="indent2">The Commission, by rule or regulation, may include within the term “commodity trading advisor”, any person advising as to the value of commodities or issuing reports or analyses concerning commodities if the Commission determines that the rule or regulation will effectuate the purposes of this paragraph.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591eb5-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/13"><num value="13" class="bold">(13)</num><heading class="bold"> Contract of sale</heading><content><p style="-uslm-lc:I12" class="indent1">The term “contract of sale” includes sales, agreements of sale, and agreements to sell.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591eb6-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/14"><num value="14" class="bold">(14)</num><heading class="bold"> Cooperative association of producers</heading><content><p style="-uslm-lc:I12" class="indent1">The term “cooperative association of producers” means any cooperative association, corporate, or otherwise, not less than 75 percent in good faith owned or controlled, directly or indirectly, by producers of agricultural products and otherwise complying with sections 291 and 292 of this title, including any organization acting for a group of such associations and owned or controlled by such associations, except that business done for or with the United States, or any agency thereof, shall not be considered either member or nonmember business in determining the compliance of any such association with this chapter.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591eb7-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15"><num value="15" class="bold">(15)</num><heading class="bold"> Derivatives clearing organization</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591eb8-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>The term “derivatives clearing organization” means a clearinghouse, clearing association, clearing corporation, or similar entity, facility, system, or organization that, with respect to an agreement, contract, or transaction—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id69591eb9-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/A/i"><num value="i">(i)</num><content> enables each party to the agreement, contract, or transaction to substitute, through novation or otherwise, the credit of the derivatives clearing organization for the credit of the parties;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591eba-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/A/ii"><num value="ii">(ii)</num><content> arranges or provides, on a multilateral basis, for the settlement or netting of obligations resulting from such agreements, contracts, or transactions executed by participants in the derivatives clearing organization; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591ebb-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/A/iii"><num value="iii">(iii)</num><content> otherwise provides clearing services or arrangements that mutualize or transfer among participants in the derivatives clearing organization the credit risk arising from such agreements, contracts, or transactions executed by the participants.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id69591ebc-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/B"><num value="B" class="bold">(B)</num><heading class="bold"> Exclusions</heading><chapeau>The term “derivatives clearing organization” does not include an entity, facility, system, or organization solely because it arranges or provides for—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id69591ebd-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/B/i"><num value="i">(i)</num><content> settlement, netting, or novation of obligations resulting from agreements, contracts, or transactions, on a bilateral basis and without a central counterparty;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591ebe-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/B/ii"><num value="ii">(ii)</num><content> settlement or netting of cash payments through an interbank payment system; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id69591ebf-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/15/B/iii"><num value="iii">(iii)</num><content> settlement, netting, or novation of obligations resulting from a sale of a commodity in a transaction in the spot market for the commodity.</content>

</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id69591ec0-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/16"><num value="16" class="bold">(16)</num><heading class="bold"> Electronic trading facility</heading><chapeau>The term “electronic trading facility” means a trading facility that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68b1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/16/A"><num value="A">(A)</num><content> operates by means of an electronic or telecommunications network; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68b2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/16/B"><num value="B">(B)</num><content> maintains an automated audit trail of bids, offers, and the matching of orders or the execution of transactions on the facility.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695b68b3-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17"><num value="17" class="bold">(17)</num><heading class="bold"> Eligible commercial entity</heading><chapeau>The term “eligible commercial entity” means, with respect to an agreement, contract or transaction in a commodity—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68b4-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/A"><num value="A">(A)</num><chapeau> an eligible contract participant described in clause (i), (ii), (v), (vii), (viii), or (ix) of paragraph (18)(A) that, in connection with its business—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695b68b5-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/A/i"><num value="i">(i)</num><content> has a demonstrable ability, directly or through separate contractual arrangements, to make or take delivery of the underlying commodity;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695b68b6-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/A/ii"><num value="ii">(ii)</num><content> incurs risks, in addition to price risk, related to the commodity; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695b68b7-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/A/iii"><num value="iii">(iii)</num><content> is a dealer that regularly provides risk management or hedging services to, or engages in market-making activities with, the foregoing entities involving transactions to purchase or sell the commodity or derivative agreements, contracts, or transactions in the commodity;</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68b8-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/B"><num value="B">(B)</num><chapeau> an eligible contract participant, other than a natural person or an instrumentality, department, or agency of a State or local governmental entity, that—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695b68b9-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/B/i"><num value="i">(i)</num><content> regularly enters into transactions to purchase or sell the commodity or derivative agreements, contracts, or transactions in the commodity; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695b68ba-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/B/ii"><num value="ii">(ii)</num><chapeau> either—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id695b68bb-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/B/ii/I"><num value="I">(I)</num><chapeau> in the case of a collective investment vehicle whose participants include persons other than—</chapeau><item style="-uslm-lc:I580434" class="indent5" id="id695b68bc-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/B/ii/I/aa"><num value="aa">(aa)</num><content> qualified eligible persons, as defined in Commission rule 4.7(a) (17 CFR 4.7(a));</content>

<continuation style="-uslm-lc:I56" class="indent4 firstIndent-2">  in each case as in effect on <date date="2000-12-21">December 21, 2000</date>, has, or is one of a group of vehicles under common control or management having in the aggregate, $1,000,000,000 in total assets; or</continuation>
<subclause style="-uslm-lc:I16" class="indent4" id="id695b68bf-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/B/ii/II"><num value="II">(II)</num><content> in the case of other persons, has, or is one of a group of persons under common control or management having in the aggregate, $100,000,000 in total assets; or</content>

</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68c0-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/17/C"><num value="C">(C)</num><content> such other persons as the Commission shall determine appropriate and shall designate by rule, regulation, or order.</content>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695b68c1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18"><num value="18" class="bold">(18)</num><heading class="bold"> Eligible contract participant</heading><chapeau>The term “eligible contract participant” means—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68c2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A"><num value="A">(A)</num><chapeau> acting for its own account—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695b68c3-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/i"><num value="i">(i)</num><content> a financial institution;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695b68c4-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/ii"><num value="ii">(ii)</num><content> an insurance company that is regulated by a State, or that is regulated by a foreign government and is subject to comparable regulation as determined by the Commission, including a regulated subsidiary or affiliate of such an insurance company;</content>

<clause style="-uslm-lc:I14" class="indent3" id="id695b68c6-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/iv"><num value="iv">(iv)</num><chapeau> a commodity pool that—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id695b68c7-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/iv/I"><num value="I">(I)</num><content> has total assets exceeding $5,000,000; and</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id695b68c8-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/iv/II"><num value="II">(II)</num><content> is formed and operated by a person subject to regulation under this chapter or a foreign person performing a similar role or function subject as such to foreign regulation (regardless of whether each investor in the commodity pool or the foreign person is itself an eligible contract participant) provided, however, that for purposes of <ref href="/us/usc/t7/s2/c/2/B/vi">section 2(c)(2)(B)(vi) of this title</ref> and <ref href="/us/usc/t7/s2/c/2/C/vii">section 2(c)(2)(C)(vii) of this title</ref>, the term “eligible contract participant” shall not include a commodity pool in which any participant is not otherwise an eligible contract participant;</content>
</subclause>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695b68c9-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/v"><num value="v">(v)</num><chapeau> a corporation, partnership, proprietorship, organization, trust, or other entity—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id695b68ca-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/v/I"><num value="I">(I)</num><content> that has total assets exceeding $10,000,000;</content>

<subclause style="-uslm-lc:I16" class="indent4" id="id695b68cb-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/v/II"><num value="II">(II)</num><content> the obligations of which under an agreement, contract, or transaction are guaranteed or otherwise supported by a letter of credit or keepwell, support, or other agreement by an entity described in subclause (I), in clause (i), (ii), (iii), (iv), or (vii), or in subparagraph (C); or</content>

<subclause style="-uslm-lc:I16" class="indent4" id="id695b68cc-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/v/III"><num value="III">(III)</num><chapeau> that—</chapeau><item style="-uslm-lc:I580434" class="indent5" id="id695b68cd-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/v/III/aa"><num value="aa">(aa)</num><content> has a net worth exceeding $1,000,000; and</content>

<item style="-uslm-lc:I580434" class="indent5" id="id695b68ce-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/v/III/bb"><num value="bb">(bb)</num><content> enters into an agreement, contract, or transaction in connection with the conduct of the entity’s business or to manage the risk associated with an asset or liability owned or incurred or reasonably likely to be owned or incurred by the entity in the conduct of the entity’s business;</content>

<subclause style="-uslm-lc:I16" class="indent4" id="id695b68d1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/vi/II"><num value="II">(II)</num><chapeau> the investment decisions of which are made by—</chapeau><item style="-uslm-lc:I580434" class="indent5" id="id695b68d2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/A/vi/II/aa"><num value="aa">(aa)</num><content> an investment adviser or commodity trading advisor subject to regulation under the Investment Advisers Act of 1940 (<ref href="/us/usc/t15/s80b–1">15 U.S.C. 80b–1</ref> et seq.) or this chapter;</content>

<clause style="-uslm-lc:I13" class="indent2" id="id695b68e5-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/B/ii"><num value="ii">(ii)</num><content> an investment adviser subject to regulation under the Investment Advisers Act of 1940 [<ref href="/us/usc/t15/s80b–1">15 U.S.C. 80b–1</ref> et seq.], a commodity trading advisor subject to regulation under this chapter, a foreign person performing a similar role or function subject as such to foreign regulation, or a person described in clause (i), (ii), (iv), (v), (viii), (ix), or (x) of subparagraph (A) or in subparagraph (C), in any such case acting as investment manager or fiduciary (but excluding a person acting as broker or performing an equivalent agency function) for another person described in subparagraph (A) or (C) and who is authorized by such person to commit such person to the transaction; or</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68e6-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/18/C"><num value="C">(C)</num><content> any other person that the Commission determines to be eligible in light of the financial or other qualifications of the person.</content>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695b68e7-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19"><num value="19" class="bold">(19)</num><heading class="bold"> Excluded commodity</heading><chapeau>The term “excluded commodity” means—</chapeau><clause style="-uslm-lc:I13" class="indent2" id="id695b68e8-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/i"><num value="i">(i)</num><content> an interest rate, exchange rate, currency, security, security index, credit risk or measure, debt or equity instrument, index or measure of inflation, or other macroeconomic index or measure;</content>
</clause>
<clause style="-uslm-lc:I13" class="indent2" id="id695b68e9-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/ii"><num value="ii">(ii)</num><chapeau> any other rate, differential, index, or measure of economic or commercial risk, return, or value that is—</chapeau><subclause style="-uslm-lc:I14" class="indent3" id="id695b68ea-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/ii/I"><num value="I">(I)</num><content> not based in substantial part on the value of a narrow group of commodities not described in clause (i); or</content>
</subclause>
<subclause style="-uslm-lc:I14" class="indent3" id="id695b68eb-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/ii/II"><num value="II">(II)</num><content> based solely on one or more commodities that have no cash market;</content>
</subclause>
</clause>
<clause style="-uslm-lc:I13" class="indent2" id="id695b68ec-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/iii"><num value="iii">(iii)</num><content> any economic or commercial index based on prices, rates, values, or levels that are not within the control of any party to the relevant contract, agreement, or transaction; or</content>
</clause>
<clause style="-uslm-lc:I13" class="indent2" id="id695b68ed-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/iv"><num value="iv">(iv)</num><chapeau> an occurrence, extent of an occurrence, or contingency (other than a change in the price, rate, value, or level of a commodity not described in clause (i)) that is—</chapeau><subclause style="-uslm-lc:I14" class="indent3" id="id695b68ee-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/iv/I"><num value="I">(I)</num><content> beyond the control of the parties to the relevant contract, agreement, or transaction; and</content>

<subclause style="-uslm-lc:I14" class="indent3" id="id695b68ef-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/19/iv/II"><num value="II">(II)</num><content> associated with a financial, commercial, or economic consequence.</content>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695b68f0-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/20"><num value="20" class="bold">(20)</num><heading class="bold"> Exempt commodity</heading><content><p style="-uslm-lc:I12" class="indent1">The term “exempt commodity” means a commodity that is not an excluded commodity or an agricultural commodity.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695b68f1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/21"><num value="21" class="bold">(21)</num><heading class="bold"> Financial institution</heading><chapeau>The term “financial institution” means—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68f2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/21/A"><num value="A">(A)</num><content> a corporation operating under the fifth undesignated paragraph of section 25 of the Federal Reserve Act (<ref href="/us/usc/t12/s603">12 U.S.C. 603</ref>), commonly known as “an agreement corporation”;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id695b68f3-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/21/B"><num value="B">(B)</num><content> a corporation organized under section 25A of the Federal Reserve Act (<ref href="/us/usc/t12/s611">12 U.S.C. 611</ref> et seq.), commonly known as an “Edge Act corporation”;</content>

</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695b6937-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/33/B"><num value="B" class="bold">(B)</num><heading class="bold"> Definition of substantial position</heading><content><p style="-uslm-lc:I13" class="indent2">For purposes of subparagraph (A), the Commission shall define by rule or regulation the term “substantial position” at the threshold that the Commission determines to be prudent for the effective monitoring, management, and oversight of entities that are systemically important or can significantly impact the financial system of the United States. In setting the definition under this subparagraph, the Commission shall consider the person’s relative position in uncleared as opposed to cleared swaps and may take into consideration the value and quality of collateral held against counterparty exposures.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695b6938-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/33/C"><num value="C" class="bold">(C)</num><heading class="bold"> Scope of designation</heading><content><p style="-uslm-lc:I13" class="indent2">For purposes of subparagraph (A), a person may be designated as a major swap participant for 1 or more categories of swaps without being classified as a major swap participant for all classes of swaps.</p>

</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695b6939-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/33/D"><num value="D" class="bold">(D)</num><heading class="bold"> Exclusions</heading><content><p style="-uslm-lc:I13" class="indent2">The definition under this paragraph shall not include an entity whose primary business is providing financing, and uses derivatives for the purpose of hedging underlying commercial risks related to interest rate and foreign currency exposures, 90 percent or more of which arise from financing that facilitates the purchase or lease of products, 90 percent or more of which are manufactured by the parent company or another subsidiary of the parent company.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695b693a-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/34"><num value="34" class="bold">(34)</num><heading class="bold"> Member of a registered entity; member of a derivatives transaction execution facility</heading><chapeau>The term “member” means, with respect to a registered entity or derivatives transaction execution facility, an individual, association, partnership, corporation, or trust—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id695b693b-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/34/A"><num value="A">(A)</num><content> owning or holding membership in, or admitted to membership representation on, the registered entity or derivatives transaction execution facility; or</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id695b693c-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/34/B"><num value="B">(B)</num><content> having trading privileges on the registered entity or derivatives transaction execution facility.</content>
</subparagraph>

<continuation style="-uslm-lc:I17" class="indent1 firstIndent0">A participant in an alternative trading system that is designated as a contract market pursuant to <ref href="/us/usc/t7/s7b–1">section 7b–1 of this title</ref> is deemed a member of the contract market for purposes of transactions in security futures products through the contract market.</continuation>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695b693d-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35"><num value="35" class="bold">(35)</num><heading class="bold"> Narrow-based security index</heading><subparagraph style="-uslm-lc:I12" class="indent1" id="id695b693e-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/A"><num value="A">(A)</num><chapeau> The term “narrow-based security index” means an index—</chapeau><clause style="-uslm-lc:I13" class="indent2" id="id695b693f-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/A/i"><num value="i">(i)</num><content> that has 9 or fewer component securities;</content>
</clause>
<clause style="-uslm-lc:I13" class="indent2" id="id695b6940-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/A/ii"><num value="ii">(ii)</num><content> in which a component security comprises more than 30 percent of the index’s weighting;</content>
</clause>
<clause style="-uslm-lc:I13" class="indent2" id="id695b6941-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/A/iii"><num value="iii">(iii)</num><content> in which the five highest weighted component securities in the aggregate comprise more than 60 percent of the index’s weighting; or</content>

<clause style="-uslm-lc:I13" class="indent2" id="id695b6942-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/A/iv"><num value="iv">(iv)</num><content> in which the lowest weighted component securities comprising, in the aggregate, 25 percent of the index’s weighting have an aggregate dollar value of average daily trading volume of less than $50,000,000 (or in the case of an index with 15 or more component securities, $30,000,000), except that if there are two or more securities with equal weighting that could be included in the calculation of the lowest weighted component securities comprising, in the aggregate, 25 percent of the index’s weighting, such securities shall be ranked from lowest to highest dollar value of average daily trading volume and shall be included in the calculation based on their ranking starting with the lowest ranked security.</content>

<subparagraph style="-uslm-lc:I12" class="indent1" id="id695b6943-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/B"><num value="B">(B)</num><chapeau> Notwithstanding subparagraph (A), an index is not a narrow-based security index if—</chapeau><clause style="-uslm-lc:I13" class="indent2" id="id695b6944-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/B/i"><num value="i">(i)</num><subclause style="-uslm-lc:I13" class="indent2" id="id695b6945-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/B/i/I"><num value="I">(I)</num><content> it has at least 9 component securities;</content>
</subclause>
<subclause style="-uslm-lc:I13" class="indent2" id="id695b6946-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/B/i/II"><num value="II">(II)</num><content> no component security comprises more than 30 percent of the index’s weighting; and</content>

<clause style="-uslm-lc:I13" class="indent2" id="id695dd954-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/B/vi"><num value="vi">(vi)</num><content> a contract of sale for future delivery on the index is traded on or subject to the rules of a board of trade and meets such requirements as are jointly established by rule, regulation, or order by the Commission and the Securities and Exchange Commission.</content>

</subparagraph>
<subparagraph style="-uslm-lc:I12" class="indent1" id="id695dd955-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/C"><num value="C">(C)</num><content> Within 1 year after <date date="2000-12-21">December 21, 2000</date>, the Commission and the Securities and Exchange Commission jointly shall adopt rules or regulations that set forth the requirements under subparagraph (B)(iv).</content>
</subparagraph>
<subparagraph style="-uslm-lc:I12" class="indent1" id="id695dd956-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/D"><num value="D">(D)</num><content> An index that is a narrow-based security index solely because it was a narrow-based security index for more than 45 business days over 3 consecutive calendar months pursuant to clause (iii) of subparagraph (B) shall not be a narrow-based security index for the 3 following calendar months.</content>
</subparagraph>
<subparagraph style="-uslm-lc:I12" class="indent1" id="id695dd957-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/E"><num value="E">(E)</num><chapeau> For purposes of subparagraphs (A) and (B)—</chapeau><clause style="-uslm-lc:I13" class="indent2" id="id695dd958-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/E/i"><num value="i">(i)</num><content> the dollar value of average daily trading volume and the market capitalization shall be calculated as of the preceding 6 full calendar months; and</content>
</clause>
<clause style="-uslm-lc:I13" class="indent2" id="id695dd959-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/35/E/ii"><num value="ii">(ii)</num><content> the Commission and the Securities and Exchange Commission shall, by rule or regulation, jointly specify the method to be used to determine market capitalization and dollar value of average daily trading volume.</content>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695dd95b-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/37"><num value="37" class="bold">(37)</num><heading class="bold"> Organized exchange</heading><chapeau>The term “organized exchange” means a trading facility that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id695dd95c-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/37/A"><num value="A">(A)</num><chapeau> permits trading—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695dd95d-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/37/A/i"><num value="i">(i)</num><content> by or on behalf of a person that is not an eligible contract participant; or</content>

<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9a0-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/B"><num value="B" class="bold">(B)</num><heading class="bold"> Exclusions</heading><chapeau>The term “swap” does not include—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695dd9a1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/B/i"><num value="i">(i)</num><content> any contract of sale of a commodity for future delivery (or option on such a contract), leverage contract authorized under <ref href="/us/usc/t7/s23">section 23 of this title</ref>, security futures product, or agreement, contract, or transaction described in <ref href="/us/usc/t7/s2/c/2/C/i">section 2(c)(2)(C)(i) of this title</ref> or <ref href="/us/usc/t7/s2/c/2/D/i">section 2(c)(2)(D)(i) of this title</ref>;</content>
</clause>

<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9b4-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/D"><num value="D" class="bold">(D)</num><heading class="bold"> Mixed swap</heading><content><p style="-uslm-lc:I13" class="indent2">The term “security-based swap” includes any agreement, contract, or transaction that is as described in section 3(a)(68)(A) of the Securities Exchange Act of 1934 (<ref href="/us/usc/t15/s78c/a/68/A">15 U.S.C. 78c(a)(68)(A)</ref>) and also is based on the value of 1 or more interest or other rates, currencies, commodities, instruments of indebtedness, indices, quantitative measures, other financial or economic interest or property of any kind (other than a single security or a narrow-based security index), or the occurrence, non-occurrence, or the extent of the occurrence of an event or contingency associated with a potential financial, economic, or commercial consequence (other than an event described in subparagraph (A)(iii)).</p>

<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9b5-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E"><num value="E" class="bold">(E)</num><heading class="bold"> Treatment of foreign exchange swaps and forwards</heading><clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id695dd9b6-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E/i"><num value="i" class="bold">(i)</num><heading class="bold"> In general</heading><chapeau>Foreign exchange swaps and foreign exchange forwards shall be considered swaps under this paragraph unless the Secretary makes a written determination under <ref href="/us/usc/t7/s1b">section 1b of this title</ref> that either foreign exchange swaps or foreign exchange forwards or both—</chapeau><subclause style="-uslm-lc:I16" class="indent4" id="id695dd9b7-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E/i/I"><num value="I">(I)</num><content> should be not be regulated as swaps under this chapter; and</content>
</subclause>
<subclause style="-uslm-lc:I16" class="indent4" id="id695dd9b8-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E/i/II"><num value="II">(II)</num><content> are not structured to evade the Dodd-Frank Wall Street Reform and Consumer Protection Act in violation of any rule promulgated by the Commission pursuant to section 721(c) of that Act [<ref href="/us/usc/t15/s8321/b">15 U.S.C. 8321(b)</ref>].</content>
</subclause>
</clause>
<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id695dd9b9-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E/ii"><num value="ii" class="bold">(ii)</num><heading class="bold"> Congressional notice; effectiveness</heading><content><p style="-uslm-lc:I14" class="indent3">The Secretary shall submit any written determination under clause (i) to the appropriate committees of Congress, including the Committee on Agriculture, Nutrition, and Forestry of the Senate and the Committee on Agriculture of the House of Representatives. Any such written determination by the Secretary shall not be effective until it is submitted to the appropriate committees of Congress.</p>

<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id695dd9ba-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E/iii"><num value="iii" class="bold">(iii)</num><heading class="bold"> Reporting</heading><content><p style="-uslm-lc:I14" class="indent3">Notwithstanding a written determination by the Secretary under clause (i), all foreign exchange swaps and foreign exchange forwards shall be reported to either a swap data repository, or, if there is no swap data repository that would accept such swaps or forwards, to the Commission pursuant to <ref href="/us/usc/t7/s6r">section 6r of this title</ref> within such time period as the Commission may by rule or regulation prescribe.</p>
</content>
</clause>
<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id695dd9bb-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E/iv"><num value="iv" class="bold">(iv)</num><heading class="bold"> Business standards</heading><content><p style="-uslm-lc:I14" class="indent3">Notwithstanding a written determination by the Secretary pursuant to clause (i), any party to a foreign exchange swap or forward that is a swap dealer or major swap participant shall conform to the business conduct standards contained in <ref href="/us/usc/t7/s6s/h">section 6s(h) of this title</ref>.</p>

</clause>
<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id695dd9bc-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/E/v"><num value="v" class="bold">(v)</num><heading class="bold"> Secretary</heading><content><p style="-uslm-lc:I14" class="indent3">For purposes of this subparagraph, the term “Secretary” means the Secretary of the Treasury.</p>

</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9bd-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/F"><num value="F" class="bold">(F)</num><heading class="bold"> Exception for certain foreign exchange swaps and forwards</heading><clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id695dd9be-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/F/i"><num value="i" class="bold">(i)</num><heading class="bold"> Registered entities</heading><content><p style="-uslm-lc:I14" class="indent3">Any foreign exchange swap and any foreign exchange forward that is listed and traded on or subject to the rules of a designated contract market or a swap execution facility, or that is cleared by a derivatives clearing organization, shall not be exempt from any provision of this chapter or amendments made by the Wall Street Transparency and Accountability Act of 2010 prohibiting fraud or manipulation.</p>
</content>
</clause>
<clause style="-uslm-lc:I77" class="indent5 firstIndent-2" id="id695dd9bf-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/47/F/ii"><num value="ii" class="bold">(ii)</num><heading class="bold"> Retail transactions</heading><content><p style="-uslm-lc:I14" class="indent3">Nothing in subparagraph (E) shall affect, or be construed to affect, the applicability of this chapter or the jurisdiction of the Commission with respect to agreements, contracts, or transactions in foreign currency pursuant to <ref href="/us/usc/t7/s2/c/2">section 2(c)(2) of this title</ref>.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695dd9c0-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/48"><num value="48" class="bold">(48)</num><heading class="bold"> Swap data repository</heading><content><p style="-uslm-lc:I12" class="indent1">The term “swap data repository” means any person that collects and maintains information or records with respect to transactions or positions in, or the terms and conditions of, swaps entered into by third parties for the purpose of providing a centralized recordkeeping facility for swaps.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695dd9c1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49"><num value="49" class="bold">(49)</num><heading class="bold"> Swap dealer</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9c2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>The term “swap dealer” means any person who—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695dd9c3-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/A/i"><num value="i">(i)</num><content> holds itself out as a dealer in swaps;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695dd9c4-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/A/ii"><num value="ii">(ii)</num><content> makes a market in swaps;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695dd9c5-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/A/iii"><num value="iii">(iii)</num><content> regularly enters into swaps with counterparties as an ordinary course of business for its own account; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695dd9c6-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/A/iv"><num value="iv">(iv)</num><content> engages in any activity causing the person to be commonly known in the trade as a dealer or market maker in swaps,</content>
</clause>

<proviso style="-uslm-lc:I32" class="indent2 firstIndent0">provided however, in no event shall an insured depository institution be considered to be a swap dealer to the extent it offers to enter into a swap with a customer in connection with originating a loan with that customer.</proviso>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9c7-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/B"><num value="B" class="bold">(B)</num><heading class="bold"> Inclusion</heading><content><p style="-uslm-lc:I13" class="indent2">A person may be designated as a swap dealer for a single type or single class or category of swap or activities and considered not to be a swap dealer for other types, classes, or categories of swaps or activities.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9c8-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/C"><num value="C" class="bold">(C)</num><heading class="bold"> Exception</heading><content><p style="-uslm-lc:I13" class="indent2">The term “swap dealer” does not include a person that enters into swaps for such person’s own account, either individually or in a fiduciary capacity, but not as a part of a regular business.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9c9-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/49/D"><num value="D" class="bold">(D)</num><heading class="bold"> De minimis exception</heading><content><p style="-uslm-lc:I13" class="indent2">The Commission shall exempt from designation as a swap dealer an entity that engages in a de minimis quantity of swap dealing in connection with transactions with or on behalf of its customers. The Commission shall promulgate regulations to establish factors with respect to the making of this determination to exempt.</p>
</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695dd9ca-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/50"><num value="50" class="bold">(50)</num><heading class="bold"> Swap execution facility</heading><chapeau>The term “swap execution facility” means a trading system or platform in which multiple participants have the ability to execute or trade swaps by accepting bids and offers made by multiple participants in the facility or system, through any means of interstate commerce, including any trading facility, that—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="id695dd9cb-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/50/A"><num value="A">(A)</num><content> facilitates the execution of swaps between persons; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="id695dd9cc-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/50/B"><num value="B">(B)</num><content> is not a designated contract market.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="id695dd9cd-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51"><num value="51" class="bold">(51)</num><heading class="bold"> Trading facility</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9ce-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>The term “trading facility” means a person or group of persons that constitutes, maintains, or provides a physical or electronic facility or system in which multiple participants have the ability to execute or trade agreements, contracts, or transactions—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695dd9cf-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51/A/i"><num value="i">(i)</num><content> by accepting bids or offers made by other participants that are open to multiple participants in the facility or system; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695dd9d0-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51/A/ii"><num value="ii">(ii)</num><content> through the interaction of multiple bids or multiple offers within a system with a pre-determined non-discretionary automated trade matching and execution algorithm.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="id695dd9d1-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51/B"><num value="B" class="bold">(B)</num><heading class="bold"> Exclusions</heading><chapeau>The term “trading facility” does not include—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="id695dd9d2-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51/B/i"><num value="i">(i)</num><content> a person or group of persons solely because the person or group of persons constitutes, maintains, or provides an electronic facility or system that enables participants to negotiate the terms of and enter into bilateral transactions as a result of communications exchanged by the parties and not from interaction of multiple bids and multiple offers within a predetermined, nondiscretionary automated trade matching and execution algorithm;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695dd9d3-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51/B/ii"><num value="ii">(ii)</num><content> a government securities dealer or government securities broker, to the extent that the dealer or broker executes or trades agreements, contracts, or transactions in government securities, or assists persons in communicating about, negotiating, entering into, executing, or trading an agreement, contract, or transaction in government securities (as the terms “government securities dealer”, “government securities broker”, and “government securities” are defined in section 3(a) of the Securities Exchange Act of 1934 (<ref href="/us/usc/t15/s78c/a">15 U.S.C. 78c(a)</ref>)); or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="id695dd9d4-ec38-11e5-ab42-dae4a1e80e35" identifier="/us/usc/t7/s1a/51/B/iii"><num value="iii">(iii)</num><content> facilities on which bids and offers, and acceptances of bids and offers effected on the facility, are not binding.</content>
