<section xmlns="http://xml.house.gov/schemas/uslm/1.0" xmlns:xsi="http://www.w3.org/2001/XMLSchema-instance" xmlns:dc="http://purl.org/dc/elements/1.1/" xmlns:dcterms="http://purl.org/dc/terms/" style="-uslm-lc:I80" id="idbbb271ae-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a"><num value="24a">§ 24a.</num><heading> Swap data repositories</heading><subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271af-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a"><num value="a" class="bold">(a)</num><heading class="bold"> Registration requirement</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271b0-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/1"><num value="1" class="bold">(1)</num><heading class="bold"> Requirement; authority of derivatives clearing organization</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271b1-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/1/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I13" class="indent2">It shall be unlawful for any person, unless registered with the Commission, directly or indirectly to make use of the mails or any means or instrumentality of interstate commerce to perform the functions of a swap data repository.</p>

</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271b2-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/1/B"><num value="B" class="bold">(B)</num><heading class="bold"> Registration of derivatives clearing organizations</heading><content><p style="-uslm-lc:I13" class="indent2">A derivatives clearing organization may register as a swap data repository.</p>

</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271b3-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/2"><num value="2" class="bold">(2)</num><heading class="bold"> Inspection and examination</heading><content><p style="-uslm-lc:I12" class="indent1">Each registered swap data repository shall be subject to inspection and examination by any representative of the Commission.</p>

</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271b4-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/3"><num value="3" class="bold">(3)</num><heading class="bold"> Compliance with core principles</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271b5-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/3/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>To be registered, and maintain registration, as a swap data repository, the swap data repository shall comply with—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idbbb271b6-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/3/A/i"><num value="i">(i)</num><content> the requirements and core principles described in this section; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271b7-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/3/A/ii"><num value="ii">(ii)</num><content> any requirement that the Commission may impose by rule or regulation pursuant to <ref href="/us/usc/t7/s12a/5">section 12a(5) of this title</ref>.</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271b8-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/a/3/B"><num value="B" class="bold">(B)</num><heading class="bold"> Reasonable discretion of swap data repository</heading><content><p style="-uslm-lc:I13" class="indent2">Unless otherwise determined by the Commission by rule or regulation, a swap data repository described in subparagraph (A) shall have reasonable discretion in establishing the manner in which the swap data repository complies with the core principles described in this section.</p>

</subparagraph>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271b9-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/b"><num value="b" class="bold">(b)</num><heading class="bold"> Standard setting</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271ba-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/b/1"><num value="1" class="bold">(1)</num><heading class="bold"> Data identification</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271bb-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/b/1/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I13" class="indent2">In accordance with subparagraph (B), the Commission shall prescribe standards that specify the data elements for each swap that shall be collected and maintained by each registered swap data repository.</p>
</content>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271bc-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/b/1/B"><num value="B" class="bold">(B)</num><heading class="bold"> Requirement</heading><content><p style="-uslm-lc:I13" class="indent2">In carrying out subparagraph (A), the Commission shall prescribe consistent data element standards applicable to registered entities and reporting counterparties.</p>
</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271bd-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/b/2"><num value="2" class="bold">(2)</num><heading class="bold"> Data collection and maintenance</heading><content><p style="-uslm-lc:I12" class="indent1">The Commission shall prescribe data collection and data maintenance standards for swap data repositories.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271be-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/b/3"><num value="3" class="bold">(3)</num><heading class="bold"> Comparability</heading><content><p style="-uslm-lc:I12" class="indent1">The standards prescribed by the Commission under this subsection shall be comparable to the data standards imposed by the Commission on derivatives clearing organizations in connection with their clearing of swaps.</p>

</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271bf-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c"><num value="c" class="bold">(c)</num><heading class="bold"> Duties</heading><chapeau>A swap data repository shall—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271c0-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/1"><num value="1">(1)</num><content> accept data prescribed by the Commission for each swap under subsection (b);</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271c1-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/2"><num value="2">(2)</num><content> confirm with both counterparties to the swap the accuracy of the data that was submitted;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271c2-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/3"><num value="3">(3)</num><content> maintain the data described in paragraph (1) in such form, in such manner, and for such period as may be required by the Commission;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271c3-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/4"><num value="4">(4)</num><subparagraph style="-uslm-lc:I12" class="indent1" id="idbbb271c4-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/4/A"><num value="A">(A)</num><content> provide direct electronic access to the Commission (or any designee of the Commission, including another registered entity); and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I12" class="indent1" id="idbbb271c5-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/4/B"><num value="B">(B)</num><content> provide the information described in paragraph (1) in such form and at such frequency as the Commission may require to comply with the public reporting requirements contained in <ref href="/us/usc/t7/s2/a/13">section 2(a)(13) of this title</ref>;</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271c6-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/5"><num value="5">(5)</num><content> at the direction of the Commission, establish automated systems for monitoring, screening, and analyzing swap data, including compliance and frequency of end user clearing exemption claims by individual and affiliated entities;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271c7-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/6"><num value="6">(6)</num><content> maintain the privacy of any and all swap transaction information that the swap data repository receives from a swap dealer, counterparty, or any other registered entity; and</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271c8-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7"><num value="7">(7)</num><chapeau> on a confidential basis pursuant to <ref href="/us/usc/t7/s12">section 12 of this title</ref>, upon request, and after notifying the Commission of the request, make available all data obtained by the swap data repository, including individual counterparty trade and position data, to—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271c9-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/A"><num value="A">(A)</num><content> each appropriate prudential regulator;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271ca-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/B"><num value="B">(B)</num><content> the Financial Stability Oversight Council;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271cb-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/C"><num value="C">(C)</num><content> the Securities and Exchange Commission;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271cc-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/D"><num value="D">(D)</num><content> the Department of Justice; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271cd-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/E"><num value="E">(E)</num><chapeau> any other person that the Commission determines to be appropriate, including—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idbbb271ce-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/E/i"><num value="i">(i)</num><content> foreign financial supervisors (including foreign futures authorities);</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271cf-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/E/ii"><num value="ii">(ii)</num><content> foreign central banks; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271d0-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/7/E/iii"><num value="iii">(iii)</num><content> foreign ministries; and</content>
</clause>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271d1-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/c/8"><num value="8">(8)</num><content> establish and maintain emergency procedures, backup facilities, and a plan for disaster recovery that allows for the timely recovery and resumption of operations and the fulfillment of the responsibilities and obligations of the organization.</content>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271d2-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/d"><num value="d" class="bold">(d)</num><heading class="bold"> Confidentiality and indemnification agreement</heading><chapeau>Before the swap data repository may share information with any entity described in subsection (c)(7)—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271d3-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/d/1"><num value="1">(1)</num><content> the swap data repository shall receive a written agreement from each entity stating that the entity shall abide by the confidentiality requirements described in <ref href="/us/usc/t7/s12">section 12 of this title</ref> relating to the information on swap transactions that is provided; and</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb271d4-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/d/2"><num value="2">(2)</num><content> each entity shall agree to indemnify the swap data repository and the Commission for any expenses arising from litigation relating to the information provided under <ref href="/us/usc/t7/s12">section 12 of this title</ref>.</content>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271d5-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e"><num value="e" class="bold">(e)</num><heading class="bold"> Designation of chief compliance officer</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271d6-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/1"><num value="1" class="bold">(1)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I12" class="indent1">Each swap data repository shall designate an individual to serve as a chief compliance officer.</p>
</content>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271d7-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2"><num value="2" class="bold">(2)</num><heading class="bold"> Duties</heading><chapeau>The chief compliance officer shall—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271d8-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/A"><num value="A">(A)</num><content> report directly to the board or to the senior officer of the swap data repository;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271d9-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/B"><num value="B">(B)</num><content> review the compliance of the swap data repository with respect to the requirements and core principles described in this section;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271da-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/C"><num value="C">(C)</num><content> in consultation with the board of the swap data repository, a body performing a function similar to the board of the swap data repository, or the senior officer of the swap data repository, resolve any conflicts of interest that may arise;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271db-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/D"><num value="D">(D)</num><content> be responsible for administering each policy and procedure that is required to be established pursuant to this section;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271dc-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/E"><num value="E">(E)</num><content> ensure compliance with this chapter (including regulations) relating to agreements, contracts, or transactions, including each rule prescribed by the Commission under this section;</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271dd-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/F"><num value="F">(F)</num><chapeau> establish procedures for the remediation of noncompliance issues identified by the chief compliance officer through any—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idbbb271de-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/F/i"><num value="i">(i)</num><content> compliance office review;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271df-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/F/ii"><num value="ii">(ii)</num><content> look-back;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271e0-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/F/iii"><num value="iii">(iii)</num><content> internal or external audit finding;</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271e1-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/F/iv"><num value="iv">(iv)</num><content> self-reported error; or</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271e2-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/F/v"><num value="v">(v)</num><content> validated complaint; and</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271e3-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/2/G"><num value="G">(G)</num><content> establish and follow appropriate procedures for the handling, management response, remediation, retesting, and closing of noncompliance issues.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271e4-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/3"><num value="3" class="bold">(3)</num><heading class="bold"> Annual reports</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271e5-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/3/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><chapeau>In accordance with rules prescribed by the Commission, the chief compliance officer shall annually prepare and sign a report that contains a description of—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idbbb271e6-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/3/A/i"><num value="i">(i)</num><content> the compliance of the swap data repository of the chief compliance officer with respect to this chapter (including regulations); and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271e7-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/3/A/ii"><num value="ii">(ii)</num><content> each policy and procedure of the swap data repository of the chief compliance officer (including the code of ethics and conflict of interest policies of the swap data repository).</content>
</clause>
</subparagraph>
<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271e8-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/3/B"><num value="B" class="bold">(B)</num><heading class="bold"> Requirements</heading><chapeau>A compliance report under subparagraph (A) shall—</chapeau><clause style="-uslm-lc:I14" class="indent3" id="idbbb271e9-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/3/B/i"><num value="i">(i)</num><content> accompany each appropriate financial report of the swap data repository that is required to be furnished to the Commission pursuant to this section; and</content>
</clause>
<clause style="-uslm-lc:I14" class="indent3" id="idbbb271ea-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/e/3/B/ii"><num value="ii">(ii)</num><content> include a certification that, under penalty of law, the compliance report is accurate and complete.</content>
</clause>
</subparagraph>
</paragraph>
</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271eb-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f"><num value="f" class="bold">(f)</num><heading class="bold"> Core principles applicable to swap data repositories</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271ec-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/1"><num value="1" class="bold">(1)</num><heading class="bold"> Antitrust considerations</heading><chapeau>Unless necessary or appropriate to achieve the purposes of this chapter, a swap data repository shall not—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271ed-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/1/A"><num value="A">(A)</num><content> adopt any rule or take any action that results in any unreasonable restraint of trade; or</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271ee-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/1/B"><num value="B">(B)</num><content> impose any material anticompetitive burden on the trading, clearing, or reporting of transactions.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271ef-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/2"><num value="2" class="bold">(2)</num><heading class="bold"> Governance arrangements</heading><chapeau>Each swap data repository shall establish governance arrangements that are transparent—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271f0-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/2/A"><num value="A">(A)</num><content> to fulfill public interest requirements; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271f1-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/2/B"><num value="B">(B)</num><content> to support the objectives of the Federal Government, owners, and participants.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271f2-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/3"><num value="3" class="bold">(3)</num><heading class="bold"> Conflicts of interest</heading><chapeau>Each swap data repository shall—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271f3-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/3/A"><num value="A">(A)</num><content> establish and enforce rules to minimize conflicts of interest in the decision-making process of the swap data repository; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb271f4-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/3/B"><num value="B">(B)</num><content> establish a process for resolving conflicts of interest described in subparagraph (A).</content>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb271f5-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/4"><num value="4" class="bold">(4)</num><heading class="bold"> Additional duties developed by Commission</heading><subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271f6-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/4/A"><num value="A" class="bold">(A)</num><heading class="bold"> In general</heading><content><p style="-uslm-lc:I13" class="indent2">The Commission may develop 1 or more additional duties applicable to swap data repositories.</p>

<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271f7-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/4/B"><num value="B" class="bold">(B)</num><heading class="bold"> Consideration of evolving standards</heading><content><p style="-uslm-lc:I13" class="indent2">In developing additional duties under subparagraph (A), the Commission may take into consideration any evolving standard of the United States or the international community.</p>

<subparagraph style="-uslm-lc:I18" class="indent4 firstIndent-2" id="idbbb271f8-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/f/4/C"><num value="C" class="bold">(C)</num><heading class="bold"> Additional duties for Commission designees</heading><content><p style="-uslm-lc:I13" class="indent2">The Commission shall establish additional duties for any registrant described in <ref href="/us/usc/t7/s1a/48">section 1a(48) of this title</ref> in order to minimize conflicts of interest, protect data, ensure compliance, and guarantee the safety and security of the swap data repository.</p>

<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271f9-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/g"><num value="g" class="bold">(g)</num><heading class="bold"> Required registration for swap data repositories</heading><content><p style="-uslm-lc:I11" class="indent0">Any person that is required to be registered as a swap data repository under this section shall register with the Commission regardless of whether that person is also licensed as a bank or registered with the Securities and Exchange Commission as a swap data repository.</p>

<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb271fa-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s24a/h"><num value="h" class="bold">(h)</num><heading class="bold"> Rules</heading><content><p style="-uslm-lc:I11" class="indent0">The Commission shall adopt rules governing persons that are registered under this section.</p>
