<section xmlns="http://xml.house.gov/schemas/uslm/1.0" xmlns:xsi="http://www.w3.org/2001/XMLSchema-instance" xmlns:dc="http://purl.org/dc/elements/1.1/" xmlns:dcterms="http://purl.org/dc/terms/" style="-uslm-lc:I80" id="idbbb99dc6-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d"><num value="27d">§ 27d.</num><heading> Administration of the predominance test</heading><subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb99dc7-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/a"><num value="a" class="bold">(a)</num><heading class="bold"> In general</heading><chapeau>No provision of the Commodity Exchange Act [<ref href="/us/usc/t7/s1">7 U.S.C. 1</ref> et seq.] shall apply to, and the Commodity Futures Trading Commission shall not regulate, a hybrid instrument, unless the Commission determines, by or under a rule issued in accordance with this section, that—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="idbbb99dc8-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/a/1"><num value="1">(1)</num><content> the action is necessary and appropriate in the public interest;</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb99dc9-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/a/2"><num value="2">(2)</num><content> the action is consistent with the Commodity Exchange Act [<ref href="/us/usc/t7/s1">7 U.S.C. 1</ref> et seq.] and the purposes of the Commodity Exchange Act; and</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb99dca-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/a/3"><num value="3">(3)</num><content> the hybrid instrument is not predominantly a banking product under the predominance test set forth in <ref href="/us/usc/t7/s27c/b">section 27c(b) of this title</ref>.</content>

</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb99dcb-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/b"><num value="b" class="bold">(b)</num><heading class="bold"> Consultation</heading><chapeau>Before commencing a rulemaking or making a determination pursuant to a rule issued under sections 27 to 27f of this title, the Commodity Futures Trading Commission shall consult with and seek the concurrence of the Board of Governors of the Federal Reserve System concerning—</chapeau><paragraph style="-uslm-lc:I12" class="indent1" id="idbbb99dcc-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/b/1"><num value="1">(1)</num><content> the nature of the hybrid instrument; and</content>
</paragraph>
<paragraph style="-uslm-lc:I12" class="indent1" id="idbbb99dcd-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/b/2"><num value="2">(2)</num><content> the history, purpose, extent, and appropriateness of the regulation of the hybrid instrument under the Commodity Exchange Act [<ref href="/us/usc/t7/s1">7 U.S.C. 1</ref> et seq.] and under appropriate banking laws.</content>

</subsection>
<subsection style="-uslm-lc:I19" class="indent2 firstIndent-2" id="idbbb99dce-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c"><num value="c" class="bold">(c)</num><heading class="bold"> Objection to Commission regulation</heading><paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb99dcf-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/1"><num value="1" class="bold">(1)</num><heading class="bold"> Filing of petition for review</heading><content><p style="-uslm-lc:I12" class="indent1">The Board of Governors of the Federal Reserve System may obtain review of any rule or determination referred to in subsection (a) of this section in the United States Court of Appeals for the District of Columbia Circuit by filing in the court, not later than 60 days after the date of publication of the rule or determination, a written petition requesting that the rule or determination be set aside. Any proceeding to challenge any such rule or determination shall be expedited by the court.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb99dd0-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/2"><num value="2" class="bold">(2)</num><heading class="bold"> Transmittal of petition and record</heading><content><p style="-uslm-lc:I12" class="indent1">A copy of a petition described in paragraph (1) shall be transmitted as soon as possible by the Clerk of the court to an officer or employee of the Commodity Futures Trading Commission designated for that purpose. Upon receipt of the petition, the Commission shall file with the court the rule or determination under review and any documents referred to therein, and any other relevant materials prescribed by the court.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb99dd1-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/3"><num value="3" class="bold">(3)</num><heading class="bold"> Exclusive jurisdiction</heading><content><p style="-uslm-lc:I12" class="indent1">On the date of the filing of a petition under paragraph (1), the court shall have jurisdiction, which shall become exclusive on the filing of the materials set forth in paragraph (2), to affirm and enforce or to set aside the rule or determination at issue.</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb99dd2-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/4"><num value="4" class="bold">(4)</num><heading class="bold"> Standard of review</heading><chapeau>The court shall determine to affirm and enforce or set aside a rule or determination of the Commodity Futures Trading Commission under this section, based on the determination of the court as to whether—</chapeau><subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb99dd3-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/4/A"><num value="A">(A)</num><content> the subject product is predominantly a banking product; and</content>
</subparagraph>
<subparagraph style="-uslm-lc:I13" class="indent2" id="idbbb99dd4-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/4/B"><num value="B">(B)</num><content> making the provision or provisions of the Commodity Exchange Act [<ref href="/us/usc/t7/s1">7 U.S.C. 1</ref> et seq.] at issue applicable to the subject instrument is appropriate in light of the history, purpose, and extent of regulation under such Act, sections 27 to 27f of this title, and under the appropriate banking laws, giving deference neither to the views of the Commodity Futures Trading Commission nor the Board of Governors of the Federal Reserve System.</content>
</subparagraph>
</paragraph>
<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb99dd5-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/5"><num value="5" class="bold">(5)</num><heading class="bold"> Judicial stay</heading><content><p style="-uslm-lc:I12" class="indent1">The filing of a petition by the Board pursuant to paragraph (1) shall operate as a judicial stay, until the date on which the determination of the court is final (including any appeal of the determination).</p>

<paragraph style="-uslm-lc:I79" class="indent3 firstIndent-2" id="idbbb99dd6-aaf5-11e3-a8cb-a7a72594c0f9" identifier="/us/usc/t7/s27d/c/6"><num value="6" class="bold">(6)</num><heading class="bold"> Other authority to challenge</heading><content><p style="-uslm-lc:I12" class="indent1">Any aggrieved party may seek judicial review pursuant to section 6(c) of the Commodity Exchange Act [<ref href="/us/usc/t7/s9">7 U.S.C. 9</ref>] of a determination or rulemaking by the Commodity Futures Trading Commission under this section.</p>
